Home My WebLink AboutContracts & Agreements_19-2023THIRD AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES This third amendment ("Third Amendment") to the agreement for the provision of services associated with Community Facilities District ("Agreement"), dated September 18, 2018, by and between the City of Redlands, a municipal corporation and a general law city ("City"), and Webb Municipal Finance, LLC, a California Limited Liability Company ("Consultant"), is made and entered into this 71h day of February 2023. City and Consultant are sometimes individually referred to herein as a "Party", and collectively as the "Parties". RECITALS WHEREAS, the Parties entered into a Professional Services Agreement ("Agreement") on September 18, 2018, to provide Community Facilities District services to the City; WHEREAS, the Parties entered into a Second Amendment to the Agreement ("Second Amendment") on December 20, 2022; and WHEREAS, it is the desire of the Parties to amend their existing Agreement, specifically to make a change to the total amount of the Agreement. NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Consultant agree as follows: AGREEMENT Section 1. Article 5 of the Agreement, entitled "Payments to Consultant," is hereby amended to read as follows: "5.1 Total compensation for Consultant's performance of the Services shall not exceed the amount of Eighty -Six Thousand Five Hundred Dollars ($86,500). City shall pay Consultant on a time and materials basis up to the not -to -exceed amount in accordance with Exhibit `B" entitled "HOURLY RATE SCHEDULE" attached hereto and incorporated herein by reference." Section 2. All other provisions of the Agreement shall remain unchanged by this Second Amendment and in effect.
