SERVICES FOR EQUIPMENT AND SUPPLIES
This first amendment ("First Amendment") to the agreement for the supply and delivery
of renewable liquid natural gas ("Agreement"), dated May 17, 2022, by and between the City of
Redlands, a municipal corporation and a general law city ("City"), and Applied LNG
Technologies, LLC. a Delaware Corporation ("Consultant"), is made and entered into this 21" day
of February, 2023.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically the payments to contractor;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 5 of the Agreement, entitled "Payments to Contractor," is hereby
amended to read as follows:
The compensation for Contractor's performance of the Services shall not exceed the
amount of Two Million Three Hundred Sixty -One Thousand Eight Hundred Seventy -Nine Dollars
($2,361,879) for the Services provided during the Initial Term. Should this Agreement be renewed,
the compensation for Contractor's performance for the Services shall not exceed the amount of
Six Hundred Thirty -Seven Thousand Ninety -Eight Dollars ($637,098) for the first Extended Term;
and Six Hundred Thirty -Seven Thousand Ninety -Eight Dollars ($637,098) for the second
Extended Term, bringing the total possible amount of compensation to a not -to -exceed amount of
Three Million Six Hundred Thirty -Six Thousand Seventy -Five Dollars ($3,636,075). For the
Initial Term and each Extended Term, City shall pay Contractor on a time and materials basis up
to the not to not -to -exceed amount. in accordance with the rates specified in Exhibit "A," titled
"Scope of Services," which is attached hereto and incorporated herein by reference.
Section 2. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of February 21, 2023.
