This third amendment ("Third Amendment") to the agreement for professional planning,
environmental, and development review services ("Agreement"), dated March 29, 2022, by and
between the City of Redlands, a municipal corporation and a general law city ("City"), and Michael
Baker International, Inc., a Pennsylvania corporation ("Consultant"), is made and entered into this
7th day of March 2023.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically to Article 4.2 to extend the end term of this Agreement from March 31, 2023, to June
30, 2024, and to Article 5.1 to increase the not -to -exceed payment amount to the Consultant from
two hundred ninety-nine thousand nine hundred ninety dollars ($299,990) to three hundred ninety-
nine thousand nine hundred ninety dollars ($399,990).
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Section 4.2 of the Agreement, entitled "Perfotniance of Services," is hereby
amended to read as follows:
`4.2 The term of this Agreement shall commence on March 30, 2022, and terminated on June
30, 2024, unless the Services are terminated earlier as provided for herein"
Section 2. Section 5.1 of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:
`5.1 Total compensation for Consultant's performance of the Services shall not exceed the
amount of three hundred ninety-nine thousand nine hundred ninety dollars ($399,990). City shall
pay Consultant on a time and material basis in accordance with Exhibit "B," titled
"Compensation," which is attached hereto and incorporated herein by this reference."
Section 3. All other provisions of the Agreement shall remain unchanged by this Third
Amendment and in effect.
Section 4. This Amendment may be executed in counterparts, each of which shall be
deemed an original, but all of which, together, shall constitute one and the same instrument.

IN WITNESS THEREOF, the parties have executed this Third Amendment, to be effective
as of March 7, 2023.
