A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDLANDS APPROVING
THE ASSIGNMENT OF THE FRANCHISE FOR THE CONSTRUCTION AND OPERATION
OF A COMMUNITY ANTENNA TELEVISION SYSTEM IN REDLANDS FROM TELEVENTS
OF REDLANDS, INC . TO FIELD CABLEVISION OF REDLANDS-YUCAIPA, INC.
THE CITY COUNCIL OF THE CITY OF REDLANDS DOES HEREBY ADOPT THE
FOLLOWING RECITALS AND RESOLUTIONS :
WHEREAS, by Ordinance No. 1480 , adopted April 4 , 1972 , the City
granted a franchise for the construction, operation and maintenance
of a Community Antenna Television System in Redlands to Televents of
California, Inc. ;
WHEREAS , the franchise was granted under the terms and conditions
of Ordinance No. 1445 as amended by Ordinance No. 1459 ;
WHEREAS , by Resolution No. 3058 , adopted August 7, 1973 , the
City Council approved the assignment of the franchise to Televents of
Redlands, Inc. and the franchise was thereafter assigned to Televents
of Redlands , Inc. prior to the merger of Televents of California, Inc.
into Televents, Inc. ;
WHEREAS, the franchise granted by Ordinance No. 1480 under the
terms and conditions of Ordinance No. 1445 was amended by Ordinance
No. 1459, was amended by Ordinance No. 1526 , was further amended by
Ordinances No. 1618 and No. 1678 , and various changes in service rates
authorized thereunder have also been approved on May 20 , 1980 and
January 3, 1978 by the Council (the franchise as heretofore amended
being hereinafter called the "Franchise") ;
WHEREAS, Televents of Redlands , Inc. has agreed to sell substan-
tially all its assets to Field Cablevision of Redlands-Yucaipa, Inc,
subject to certain conditions including the consent of the City Council
to the assignment of the Franchise to Field Cablevision of Redlands-
Yucaipa, Inc. , a Delaware corporation;
WHEREAS , under the provisions of paragraph 7 G, Ordinance No. 1445 ,
Televents of Redlands , Inc. has requested the City Council to consent
to and approve the assignment of the Franchise to Field Cablevision of
Redlands-Yucaipa, Inc. ;
WHEREAS, the Council , after a public hearing on this matter held
on November 18 , 1980 , finds that the proposed assignee, Field Cable-
vision of Redlands-Yucaipa, Inc. , has shown financial responsibility
and has agreed to comply with all the provisions of the Franchise
(including the provisions of the Ordinances referred to therein) , if
assigned;
NOW, THEREFORE, BE IT RESOLVED that the City Council of the
City of Redlands hereby consents to and approves the assignment,
sale and transfer of the Franchise,

subject to filing with the City Clerk of the City of Redlands , within
ninety (90) days from the date of adoption of this resolution , of
the following duly executed documents :
1. An executed copy of an assignment of the Franchise by
Televents of Redlands , Inc. to Field Cablevision of
Redlands-Yucaipa, Inc.
2 . An executed copy of an agreement by Field Cablevision of
Redlands-Yucaipa, Inc. to comply with all the provisions
of the Franchise (including the provisions of the Ordinances
referred to therein. )
ADOPTED, SIGNED AND APPROVED this 18th day of November, 1980 .
