HomeMy WebLinkAbout8477RESOLUTION NO. 8477 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDLANDS AMENDING RESOLUTION NO 8081 REGARDING AN AGREEMENT WITH QUINN COMPANY FOR THE CITY'S FACILITIES AND COMMUNITY SERVICES DEPARTMENT FOR FISCAL YEAR 2022-23 WHEREAS, the Facilities and Community Services Department regularly purchases a variety of supplies and services from to support City operations pursuant to bids for products and services in accordance with the Redlands Municipal Code; and WHEREAS, on June 16, 2020, the City Council of the City of Redlands approved Resolution No. 8081 approving an agreement with Quinn Company for a period of one year, with options for two additional one-year terms; and WHEREAS, there is a need to amend the agreement with Quinn Company due to increased vehicle repairs; and NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF REDLANDS AS FOLLOWS: Section 1. Section 7 of Resolution No. 8081 is hereby amended to read as follows: "Section 7. The City Council hereby approves an agreement with Quinn Company for the provision of maintenance and service for heavy duty off -road equipment in an amount not to exceed $204,500 for the initial term of one year, with an additional one-year renewal option in an amount not to exceed $204,500 and a second one-year renewal option in an amount not to exceed $330,550 bringing the total to an amount not to exceed $739,500." Section 2. The Agreement with Quinn Company attached as Exhibit C to Resolution No. 8081 is modified as set forth in Exhibit A ("First Amendment to Agreement with Quinn Company"), attached hereto and incorporated by reference herein and is hereby approved by the City Council. RECITALS WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement, specifically the payments to contractor; NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Consultant agree as follows: AGREEMENT Section 1. Article 5 of the Agreement, entitled "Payments to Contractor," is hereby amended to read as follows: The compensation for Contractor's performance of the Services shall not exceed the amount of Two Hundred Four Thousand Five Hundred Dollars ($204,500) for the Services provided during the Initial Term. The compensation for Contractor's performance for the Services shall not exceed the amount of Two Hundred Four Thousand Five Hundred Dollars ($204,500) for the first Extended Term; and Three Hundred Thirty Thousand Five Hundred Dollars ($330,500) for the second Extended Term, bringing the total possible amount of compensation to a not -to - exceed amount of Seven Hundred Thirty Nine Five Hundred Dollars ($739,500). Section 2. All other provisions of the Agreement shall remain unchanged by this First Amendment and in effect.
