This second amendment ("Second Amendment") to the agreement for the provision of
professional services associated with the development and implementation of an Inclusionary
Housing Program ("Agreement"), dated October 4, 2022, by and between the City of Redlands, a
municipal corporation and a general law city ("City"), and Keyser Marston Associates, Inc. a
California Corporation ("Consultant"), is made and entered into this 20t11 day of June 2023.
RECITALS
WHEREAS, the Parties entered into a Professional Services Agreement ("Agreement") on
October 4, 2022, for the development of an Inclusionary Housing Program; and
WHEREAS, the Parties entered into a Second Amendment to the Agreement ("Second
Amendment") on June 20, 2023; and
WHEREAS, it is the desire of the Parties to amend their existing Agreement, specifically
to make a change extending the deadline for the performance of the services by the Consultant.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 2 of the Agreement, entitled "Services of Consultant," is hereby amended
to read as follows:
"2.1 The Services that the Consultant shall perform are more particularly described and amended
in Exhibit "A", titled "Scope of Services and Fee Schedule," which is attached hereto and
incorporated herein by this reference.
Section 2. Article 4 of the Agreement, entitled "Performance of Services," is hereby
amended to read as follows:
"4.2 Consultant shall complete the Services by June 30, 2024; the City shall have the option to
extend the term of the Agreement by one (1) additional year, on the same terms and conditions, by
providing written notice to the Contractor at least thirty (30) days prior to the expiration of the
Agreement unless the services are terminated earlier as provided for herein."
Section 3. Article 5 of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:

"5.1 Total compensation for Consultant's performance of the Services shall not exceed the amount
of one hundred thousand four hundred dollars ($100,400). City shall pay Consultant on a time and
materials basis up to the not to exceed amount in accordance with Exhibit "A," titled ("Scope of
Services and Fee Schedule") which is attached hereto and incorporated herein by reference."
Section 4. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this Second Amendment, to be
effective as of June 20, 2023.

EXHIBIT "A"
SCOPE OF SERVICES
AND
FEE SCHEDULE
The components of the proposed additional scope of services can be summarized as follows:
1. Assist in implementing the proposed Inclusionary Housing Ordinance (Ordinance) including:
a. Preparing Administrative Procedures Manuals to be provided to the developers of apartment
and ownership housing projects; and
b. Creating draft agreements between the City and developers of projects that are subject to the
Ordinance requirements.
c. Preparing household income qualification and affordable sales price / rents tables.
d. Preparing in -lieu fee calculations and annual updates.
e. Providing technical assistance to developers of projects that are subject to the Ordinance
requirements.
2. Assist in evaluating development projects that propose to use the Government Code Section
65915 et seq. (Section 65915) density bonus.
3. Provide other on -call consulting services requested by the City.
Recognizing the general nature of the City's request for services, KMA proposes that the City amend
the existing contract to extend the term and to the general services contract to a cap of $100,400,
Then, as specific projects are identified by the city, KMA proposes to undertake the following
implementation process:
1. The City staff will contact KMA with a description of the assignment.
2. KMA will provide a budget estimate for the City's approval.
3. Once KMA has received approval to commence work on the assignment, we will undertake the
work product in accordance with the agreed upon scope of work.
The KMA billing rate schedule that will be applied to the services provided under the contract is
presented in the following table:
