This first amendment ("First Amendment") to the agreement for professional software
licensing and consulting services ("Agreement"), dated February 1, 2022, by and between the City
of Redlands, a municipal corporation and a general law city ("City"), and Liftoff, LLC
("Consultant"), is made and entered into this 5th day of July 2023.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically with regard to the performance of services and compensation schedule;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article five (5) of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:
The total annual compensation for Consultant's performance of the Services shall be in the
amount of sixty-five thousand dollars ($65,000) during the Initial Term, with four additional
one-year extension options ("Extended Terms"). Compensation for the first one-year Extension
Term shall be in the amount of two hundred twenty-five thousand dollars ($225,000).
Compensation for each subsequent one-year Extension Term shall be in the amount of one
hundred and thirty thousand dollars ($130,000) bringing the total compensation during the
Initial Term and four (4) Extension Terms to an amount of six hundred eighty thousand dollars
($680,000) City shall pay Consultant on a time and materials basis up to the not to exceed
amount in accordance with Exhibit " C," titled " Fee Schedule," which is attached hereto and
incorporated herein by reference.
Section 2. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of July 5, 2023.
