SERVICES FOR EQUIPMENT AND SUPPLIES
This second amendment ("Second Amendment") to the agreement for the provision of
onsite fleet maintenance and repair services ("Agreement"), dated June 21, 2021, by and between
the City of Redlands, a municipal corporation and a general law city ("City"), and Southern
California Fleet Services, Inc., a California corporation ("Consultant"), is made and entered into
this 5th day of July, 2023.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically the compensation to contractor;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 5 of the Agreement, entitled "Payments to Contractor," is hereby
amended to read as follows:
"5.1 The compensation for Contractor's performance of the Services shall not exceed the
amount of six hundred seventy five thousand dollars ($675,000) for the Services provided during
the Initial Term. The compensation for Contractor's performance for the Services shall not exceed
the amount of one million one hundred six thousand dollars ($1,106,000) for the first Extended
Term; and one million one hundred six thousand ($1,106,000) for the second Extended Term,
bringing the total possible amount of compensation to a not -to -exceed amount of two million eight
hundred eighty seven thousand dollars ($2,887,000). For the Initial Term and each Extended Term,
City shall pay Contractor on a time and materials basis up to the not to not -to -exceed amount in
accordance with the rates specified in Exhibit "C," titled "Fee Schedule," which is attached hereto
and incorporated herein by reference."
Section 2. All other provisions of the Agreement shall remain unchanged by this Second
Amendment and in effect.

IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of July 5, 2023.
