A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDLANDS
AMENDING RESOLUTION NO 8331 TO AMEND A SINGLE/SOLE SOURCE
PURCHASE ORDER AND NON-PROFESSIONAL SERVICES AGREEMENT
WITH KEN GRODY FORD REDLANDS, LLC FOR THE CITY'S FACILITIES
AND COMMUNITY SERVICES DEPARTMENT FOR FISCAL YEAR 2022-23
WHEREAS, the Facilities and Community Services Department regularly purchases a variety
of supplies and services from to support City operations pursuant to bids for products and services in
accordance with the Redlands Municipal Code; and
WHEREAS, on June 21, 2022, the City Council of the City of Redlands approved Resolution
No. 8331 approving annual purchase orders for the City's Facilities and Community Services
Department for Fiscal Year 2022-23; and
WHEREAS, there is a need to amend the purchase order and Non -Professional Services
Agreement with Ken Grody Ford Redlands, LLC dated June 21, 2022 due to increased vehicle repairs;
and
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
REDLANDS AS FOLLOWS:
Section 1. Section 8 of Resolution No. 8331 is hereby amended to read as follows:
"Section 8. The City Council hereby approves an agreement with Ken Grody Ford Redlands
for Ford OEM parts and repair in an amount not to exceed $128,242 for the initial term, $98,535 for
the first Extended Term; and $98,535 for the second Extended Term, bringing the total an amount not
to exceed $325,312."
Section 2. The City Council hereby approves the First Amendment to the Non -
Professional Services Agreement with Ken Grody Ford Redlands, LLC , attached hereto and
incorporated by reference herein as Exhibit "A".

FIRST AMENDMENT TO AGREEMENT TO PERFORM NONPROFESSIONAL SERVICES
FOR EQUIPMENT AND SUPPLIES
This first amendment ("First Amendment") to the agreement for the provision of Ford
original equipment manufacturer parts and repair services ("Agreement"), dated June 21, 2022, by
and between the City of Redlands, a municipal corporation and a general law city ("City"), and
Ken Grody Ford Redlands, LLC ("Contractor"), is made and entered into this 5th day of July,
2023.
RECITALS
WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement,
specifically the compensation to Contractor;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. The Agreement is amended to correct Contractor's name to "Ken Grody
Redlands, LLC."
Section 2. Article 5 of the Agreement, entitled "Payments to Contractor," is hereby
amended to read as follows:
"5.1 Compensation: The compensation for Contractor's performance of the Services
shall not exceed the amount of one hundred twenty-eight thousand two hundred forty-two dollars
($128,242) for the Services provided during the Initial Term. Should this Agreement be renewed,
the compensation for Contractor's performance for the Services shall not exceed the amount of
ninety-eight thousand five hundred thirty-five dollars ($98,535) for the first Extended Term; and
ninety-eight thousand five hundred thirty-five dollars ($98,535) for the second Extended Term,
bringing the total possible amount of compensation to a not -to -exceed amount of three hundred
twenty-five thousand three hundred twelve dollars ($325,312). For the Initial Term and each
Extended Term, City shall pay Contractor on a time and materials basis up to the not to not -to -
exceed amount in accordance with the rates specified in Exhibit "B," titled "Fee Schedule," which
is attached hereto and incorporated herein by reference."
Section 3. Exhibit "B" of the Agreement, entitled "Fee Schedule," is hereby amended and
replaced by an amended Exhibit "B", which is attached hereto and incorporated herein by this
reference as Attachment 1.
Section 4. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
