This first amendment ("First Amendment") to the agreement for the provision of
professional environmental consulting services ("Agreement"), dated August 16, 2022, by and
between the City of Redlands, a municipal corporation and a general law city ("City"), and LSA
Associates, Inc., a California corporation ("Consultant"), is made and entered into this 31 st day
of August, 2023.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically to extend the time for completion of the services to June 30,2024.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Section 4.1 of the Agreement, entitled "Performance of Services," is ,hereby
amended to read as follows:
4.1 Consultant shall perform and complete the Services on the Effective Date of this Agreement
and complete the Services by June 30, 2024, unless the Services are terminated earlier as provide
for herein."
Section 2. Section 5.3 of the Agreement, entitled "Payments To Consultant," is hereby
amended to read as follows:
5.3 Any notice or other communication required, or which may be given, pursuant to this
Agreement, shall be in writing. Any such notice shall be deemed delivered (i) on the date of delivery
in person; (ii) five (5) days after deposit in first class certified, registered or express mail, with return
receipt requested; (iii) on the actual delivery date if deposited with an overnight courier; or (iv) on
the date sent by facsimile or electronic mail transmission (including PDF), if confirmed with a copy
sent contemporaneously by first class, certified, registered or express mail; in each case properly
posted and fully prepaid to the appropriate address set forth below, or such other address as a Party
may provide notice in accordance with this section:

Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of August 31, 2023.
