SERVICES FOR EQUIPMENT AND SUPPLIES
This first amendment ("First Amendment") to the agreement for elevator maintenance
services ("Agreement"), dated June 21st, 2022, by and between the City of Redlands, a municipal
corporation and a general law city ("City"), and Liftech Elevator Services, Inc., a California
corporation ("Contractor"), is made and entered into this 7th day of November, 2023.
RECITALS
WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement,
specifically the terra of the agreement to three (3) years commencing as of the Effective Date to
June 21, 2025; and
WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement,
specifically the total compensation for the Contractor shall not exceed the amount of One Hundred
One Thousand, Four Hundred Seven Dollars and Twenty Cents ($101,407.20).
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Contractor agree as follows:
AGREEMENT
Section 1. Article 4 of the Agreement, entitled "Performance of Services" in relation to the
term of services is hereby amended to read as follows:
4.1 The term of this Agreement shall be for a period of three (3) years commencing as of
the Effective Date, unless terminated earlier as provided herein.
Section 2.-Article 5 of the Agreement, entitled "Payments to Contractor," is hereby
amended to read as follows:
5.1 Total compensation for Contractor's performance of the Services shall not exceed the
amount of One Hundred One Thousand, Four Hundred Seven Dollars and Twenty Cents
($101,407.20). City shall pay Contractor on a time and materials basis up to the not to exceed
amount in accordance with Exhibit "B" titled "Fee Schedule," which is attached hereto and
incorporated herein by this reference.
Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.

IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of November 7, 2023.
