HomeMy WebLinkAbout8547RESOLUTION NO. 8547 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF REDLANDS AMENDING RESOLUTION NO 8331 and RESCINDING 8496 TO AMEND NON-PROFESSIONAL SERVICES AGREEMENTS WITH P & S TRUCK CENTER AND KEN GRODY REDLANDS, LLC, WITH THE CITY'S FACILITIES AND COMMUNITY SERVICES DEPARTMENT WHEREAS, the Facilities and Community Services Department regularly purchases a variety of supplies and services from to support City operations pursuant to bids for products and services in accordance with the Redlands Municipal Code; and WHEREAS, on June 21, 2022, the City Council of the City of Redlands approved Resolution No. 8331 approving various agreements and annual purchase orders for the City's Facilities and Community Services Department for Fiscal Year 2022-23; and WHEREAS, on July 5, 2023 the City Council of the City of Redlands approved Resolution No. 8496 amending Resolution No. 8331 and approving an agreement amendment and annual purchase order modification with Ken Grody Redlands, LLC, for Fiscal Year 2022-23; and WHEREAS, there is a need to amend the purchase order and Non -Professional Services Agreement with Ken Grody Redlands, LLC dated June 21, 2022 due to increased vehicle repairs; and WHEREAS, there is a need to amend the purchase order and Non -Professional Services Agreement with P & S Truck Center dated June 21, 2022 due to increased vehicle repairs; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF REDLANDS AS FOLLOWS: Section 1. Section 12 of Resolution No. 8331 is hereby amended to read as follows: "Section 12. The City Council hereby approves an agreement with P & S Truck Center for Heavy Duty Truck repair parts in an amount not to exceed $29,854.40 for the initial term, $59,000 for the first Extended Term; and $59,000 for the second Extended Term, bringing the total an amount not to exceed $147,854.40." Section 2. The City Council hereby approves the First Amendment to the Non - Professional Services Agreement with P & S Truck Center, attached hereto and incorporated by reference herein as Exhibit "A". Section 3. Section 8 of Resolution No. 8331 is hereby amended to read as follows: "Section 8. The City Council hereby approves an agreement with Ken Grody Redlands, LLC for Ford OEM parts and repairs in an amount not to exceed $128,242 for the initial term, $198,000 for the first Extended Term; and $198,000 for the second Extended Term, bringing the total an amount not to exceed $524,242." 1 I:\Resolutions\Res 8500-8599\8547 Amending Resolution 8331 and Rescinding Resolution 8496.docx-ms Section 4. The City Council hereby approves the Second Amendment to the Non - Professional Services Agreement with Ken Grody Redlands, LLC, attached hereto and incorporated by reference herein as Exhibit "B". Section 5. The City Council hereby rescinds Resolution No. 8496 Amending Resolution No. 8331 to Amend a Single/Sole Source Purchase Order and Non -Professional Services with Ken Grody Ford Redlands, LLC for the City's Facilities and Community Services Department for fiscal year 2022-23. RECITALS WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, specifically the payments to Contractor; NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Contractor agree as follows: AGREEMENT Section 1. Section 5.1 of the Agreement, under Article 5 entitled "Payments to Contractor," is hereby amended to read as follows: Compensation: The compensation for Contractor's performance of the Services shall not exceed the amount of twenty-nine thousand eight hundred fifty-four dollars and forty cents ($29,854.40) for the Services provided during the Initial Term. Should this Agreement be renewed, the compensation for Contractor's performance for the Services shall not exceed the amount of fifty nine thousand dollars ($59,000) for the first Extended Term; and fifty nine thousand dollars ($59,000) for the second Extended Term, bringing the total possible amount of compensation to a not -to -exceed amount of one hundred forty seven thousand eight hundred fifty-four thousand dollars and forty cents ($147,854.40). For the Initial Term and each Extended Term, City shall pay Contractor on a time and materials basis up to the not to not -to -exceed amount in accordance with the rates specified in Exhibit "B," titled "Fee Schedule," which is attached hereto and incorporated herein by reference. Section 2. All other provisions of the Agreement shall remain unchanged by this First Amendment and in effect. RECITALS WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement, specifically the payments to Contractor; NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Contractor agree as follows: AGREEMENT Section 1. Section 5.1 under Article 5 of the Agreement, entitled "Payments to Contractor," is hereby amended to read as follows: Compensation: The compensation for Contractor' s performance of the Services shall not exceed the amount of one hundred twenty-eight thousand two hundred forty-two dollars ($128,242) for the Services provided during the Initial Term.
