ARBORISTS, INC. SIDE LETTER OF
AGREEMENT (2024)
This Side Letter of Agreement made and entered into this 5th day of March 2024 clarifies the
agreement approved by the City Council on February 20, 2024 for the provision of city tree
trimming and arboriculture services ("Agreement") between West Coast Arborists, Inc., a
California corporation ("Contractor") and the City of Redlands ("City"), a municipal
corporation and general law city. The Contractor and the City are sometimes individually
referred to herein as a "Party" and, together, as the "Parties."
RECITALS
WHEREAS, on February 20, 2024, Contractor and City executed an Agreement to
Perform Non -Professional Services for Improvement to Buildings and Grounds to provide city
tree trimming and arboriculture services. ("Agreement"); and
WHEREAS, the Parties now wish to clarify their intentions with respect to subsection
4.2 of Article 4 — "Performance of Services" of the Agreement.
NOW, THEREFORE, in consideration of the mutual promises contained herein,
Contractor and City agree as follows:
AGREEMENT
Section 1. Subsection 4.2 of Article 4 — "Performance of Services" of the
Agreement is hereby amended to read as follows:
"4.2: The term of this Agreement shall be for a period of three (3) years from the Effective
Date of this Agreement (the "Initial Term"). The City shall have the option to extend the Initial
Term of this Agreement by two (2) additional one-year terms (each, an "Extended Term"), on
the same terms and conditions, by providing written notice to the Contractor at least thirty (30)
days prior to the expiration of the Initial Term or any Extended Term. The Initial Term and the
Extended Terms are hereby collectively referred to as the "Term" of this Agreement."
Section 2. All other provisions of the Agreement shall remain unchanged by this Side Letter of
Agreement and in effect.
