This first amendment to the agreement dated December 14, 2023 (the "Agreement") by
and between the City of Redlands, a municipal corporation ("City), and Melanie Grove
("Contractor"), is made and entered into this 7th day of March, 2024.
RECITALS
WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement,
specifically amending the business name of the Contractor to Ignite Fitness LLC and that all
references to the Contractor in the original Agreement shall be deemed to refer to Ignite Fitness,
LLC.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. The first paragraph of the agreement is hereby amended to read as follows:
This agreement for the provision of Description of services ("Agreement") is made and
entered into this 14th day of December, 2023, ("Effective Date") by and between the City of
Redlands, a municipal corporation (hereinafter "City") Ignite Fitness, LLC a California Limited
Liability Company (hereinafter "Contractor"). City and Contractor are sometimes individually
referred to herein as a "Party" and, together, as the "Parties."
Section 2. Section 10 of the agreement, entitled "Notices" is hereby amended to read as
follows:
Notices. Any notice or other communication required, or which may be given, pursuant to
this Agreement, shall be in writing. Any such notice shall be deemed delivered (i) on the
date of delivery in person; (ii) five (5) days after deposit in first class registered mail, with
return receipt requested; (iii) on the actual delivery date if deposited with an overnight
courier; or (iv) on the date sent by facsimile or electronic mail transmission (including
PDF), if confirmed with a copy sent contemporaneously by first class, certified, registered
or express mail; in each case properly posted and fully prepaid to the appropriate address
set forth below, or such other address as a Party may provide notice in accordance with
this section:

Section 3. All other provisions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be
effective as of March 7, 2024.
