This agreement for the provision of Recycled Water, Non -Potable Water, and Cross -
Connection Control Program Support Services ("Agreement") is made and entered in this 2nd
day of July, 2024 ("Effective Date"), by and between the City of Redlands, a municipal
corporation ("City") and West Yost & Associates, Inc., a California corporation ("Consultant").
City and Consultant are sometimes individually referred to herein as a "Party" and, together, as
the "Parties." In consideration of the mutual promises contained herein, City and Consultant
agree as follows:
ARTICLE 1 — ENGAGEMENT OF CONSULTANT
1.1 City hereby engages Consultant to provide Recycled Water, Non -Potable Water, and
Cross -Connection Control Program Support Services services for City (the "Services").
1.2 The Services shall be performed by Consultant in a professional manner, and Consultant
represents that it has the skill and the professional expertise necessary to provide the
Services to City at a level of competency presently maintained by other practicing
professional consultants in the industry providing like and similar types of Services.
ARTICLE 2 — SERVICES OF CONSULTANT
2.1 The Services that Consultant shall perform are more particularly described in Exhibit
"A," titled "Scope of Services," which is attached hereto and incorporated herein by this
reference.
2.2 Consultant shall comply with applicable federal, state and local laws and regulations in
the performance of this Agreement including, but not limited to, any applicable State
prevailing wage laws.
ARTICLE 3 — RESPONSIBILITIES OF CITY
3.1 City designates John R. Harris, Municipal Utilities & Engineering Director, as City's
representative with respect to performance of the Services, and such person shall have the
authority to transmit instructions, receive information, interpret and define City's policies
and decisions with respect to performance of the Services.
ARTICLE 4 — PERFORMANCE OF SERVICES
4.1 Contractor shall perform and complete the Services in a prompt and diligent manner in
accordance with the schedule set forth in Exhibit "A," titled "Scope of Services," which
is attached hereto and incorporated herein by this reference.
4.2 The term of this Agreement shall be for a period of one (1) year from the Effective Date
of this Agreement (the "Initial Term"). The City shall have the option to extend the
Initial Term of this Agreement by two (2) additional one-year terms (each, an "Extended

Term"), on the same terms and conditions, by providing written notice to Consultant at
least thirty (30) days prior to the expiration of the Initial Term or any Extended Term.
4.3 If Consultant's Services include deliverable electronic visual presentation materials, such
materials shall be delivered in a form, and made available to City, consistent with City
Council -adopted policy for the same. It shall be the obligation of Consultant to obtain a
copy of such policy from City staff.
ARTICLE 5 — PAYMENTS TO CONSULTANT
5.1 The compensation for Consultant's performance of the Services shall not exceed the
amount of Three Hundred Fifty-five Thousand Dollars ($355,000) for the Services
provided during the Initial Term. Should this Agreement be extended, the compensation
for Consultant's performance for the Services shall not exceed the amount of Three
Hundred Fifty-five Thousand Dollars ($355,000) for the first Extended Term; and Three
Hundred Fifty-five Thousand Dollars ($355,000) for the second Extended Term, bringing
the total possible amount of compensation to a not -to -exceed amount of One Million
Sixty-five Thousand Dollars ($1,065,000). For the Initial Term and each Extended Term,
City shall pay Consultant on a time and materials basis up to the not to not -to -exceed
amount in accordance with the rates specified in Exhibit "B," titled "Price and Fee Bid
and Billing Rate Schedule," which is attached hereto and incorporated herein by this
reference.
5.2 Consultant shall submit monthly invoices to City describing the Services performed
during the preceding month. Consultant's invoices shall include a brief description of the
Services performed, the dates the Services were performed, the number of hours spent
and by whom, and a description of reimbursable expenses related to the Services. City
shall pay Consultant no later than thirty (30) days after receipt and approval by City of
Consultant's invoice.
5.3 Any notice or other communication required, or which may be given, pursuant to this
Agreement, shall be in writing. Any such notice shall be deemed delivered (i) on the date
of delivery in person; (ii) five (5) days after deposit in first class registered mail, with
return receipt requested; (iii) on the actual delivery date if deposited with an overnight
courier; or (iv) on the date sent by facsimile or electronic mail transmission (including
PDF), if confirmed with a copy sent contemporaneously by first class, certified,
registered or express mail; in each case properly posted and fully prepaid to the
appropriate address set forth below, or such other address as a Party may provide notice
in accordance with this section:

ARTICLE 6 — INSURANCE AND INDEMNIFICATION
6.1 The following insurance coverage required by this Agreement shall be maintained by
Consultant for the duration of its performance of the Services. Consultant shall not
perform any Services unless and until the required insurance listed below is obtained by
Consultant. Consultant shall provide City with certificates of insurance and endorsements
evidencing such insurance prior to commencement of the Services. Insurance policies
shall include a provision prohibiting cancellation or modification of the policy except
upon thirty (30) days prior written notice to City.
A. Workers' Compensation and Employer's Liability insurance in the amount that meets
statutory requirements with an insurance carrier acceptable to City, or certification to
City that Consultant is self -insured or exempt from the workers' compensation laws
of the State of California. Consultant shall execute and provide City with Exhibit "C,"
titled "Workers' Compensation Insurance Certification," which is attached hereto and
incorporated herein by this reference, prior to performance of the Services.
B. Comprehensive General Liability insurance with carriers acceptable to City in the
minimum amount of One Million Dollars ($1,000,000) per occurrence and Two
Million Dollars ($2,000,000) aggregate, for public liability, property damage and
personal injury is required. City shall be named as an additional insured and such
insurance shall be primary and non-contributing to any insurance or self-insurance
maintained by City.
C. Consultant shall secure and maintain professional liability insurance throughout the
term of this Agreement in the amount of One Million Dollars ($1,000,000) per claim
made.
D. Business Auto Liability coverage, with minimum limits of One Million Dollars
($1,000,000) per occurrence, combined single limit bodily injury liability and
property damage liability. This coverage shall include all Consultant owned vehicles
used in connection with Consultant's provision of the Services, hired and non -owned
vehicles, and employee non -ownership vehicles. City shall be named as an additional
insured and such insurance shall be primary and non-contributing to any insurance or
self-insurance maintained by City.
E. Consultant is expressly prohibited from assigning or subcontracting any of the
Services without the prior written consent of City. In the event of mutual agreement
by the Parties to assign or subcontract a portion of the Services, Consultant shall add
such assignee or subcontractor as an additional insured to the insurance policies

required hereby and provide City with the insurance endorsements prior to any
Services being performed by the assignee or subcontractor.
6.2 Consultant shall defend, indemnify and hold harmless City and its elected and appointed
officials, employees and agents from and against any and all claims, losses or liability,
including attorneys' fees, arising from injury or death to persons or damage to property
occasioned by any negligent act or omission by, or the willful misconduct of, Consultant,
or its officers, employees and agents in performing the Services.
ARTICLE 7 — CONFLICTS OF INTEREST
7.1 Consultant covenants and represents that it does not have any investment or interest in
any real property that may be the subject of this Agreement or any other source of
income, interest in real property or investment that would be affected in any manner or
degree by the performance of Consultant's Services. Consultant further covenants and
represents that in the performance of its duties hereunder, no person having any such
interest shall perform any Services under this Agreement.
7.2 Consultant agrees it is not a designated employee within the meaning of the Political
Reform Act because Consultant:
A. Does not make a governmental decision whether to:
(i) approve a rate, rule or regulation, or adopt or enforce a City law;
(ii) issue, deny, suspend or revoke any City permit, license, application,
certification, approval, order or similar authorization or entitlement;
(iii) authorize City to enter into, modify or renew a contract;
(iv) grant City approval to a contract that requires City approval and to which
City is a party, or to the specifications for such a contract;
(v) grant City approval to a plan, design, report, study or similar item;
(vi) adopt, or grant City approval of, policies, standards or guidelines for City
or for any subdivision thereof.
B. Does not serve in a staff capacity with City and in that capacity, participate in
making a governmental decision or otherwise perform the same or substantially
the same duties for City that would otherwise be performed by an individual
holding a position specified in City's Conflict of Interest Code under Government
Code section 87302.
7.3 In the event City determines that Consultant must disclose its financial interests,
Consultant shall complete and file a Fair Political Practices Commission Form 700,
Statement of Economic Interests, with the City Clerk' s office pursuant to the written
instructions provided by the City Clerk.
ARTICLE 8 — GENERAL CONSIDERATIONS

8.1 In the event any action is commenced to enforce or interpret any of the terms or
conditions of this Agreement the prevailing Party shall, in addition to any costs and other
relief, be entitled to the recovery of its reasonable attorneys' fees, including fees for the
use of in-house counsel by a Party.
8.2 Consultant shall not assign any of the Services, except with the prior written approval of
City and in strict compliance with the terms and conditions of this Agreement. Any
assignment or attempted assignment without such prior written consent may, in the sole
discretion of City, result in City's immediate termination of this Agreement.
8.3 Consultant is for all purposes under this Agreement an independent contractor and shall
perform the Services as an independent contractor. Neither City nor any its agents shall
have control over the conduct of Consultant or Consultant's employees, except as herein
set forth. Consultant shall supply all necessary tools and instrumentalities required to
perform the Services. Assigned personnel employed by Consultant are for its account
only, and in no event shall Consultant or personnel retained by it be deemed to have been
employed by City or engaged by City for the account of, or on behalf of City. Consultant
shall have no authority, express or implied, to act on behalf of City in any capacity
whatsoever as an agent, nor shall Consultant have any authority, express or implied, to
bind City to any obligation.
8.4 This Agreement may be terminated by City, in its sole discretion, by providing not less
than five (5) days prior written notice to Consultant of City' s intent to terminate. If this
Agreement is terminated by City, an adjustment to Consultant's compensation shall be
made, but (1) no amount shall be allowed for anticipated profit or unperformed Services,
and (2) any payment due Consultant at the time of termination may be adjusted to the
extent of any additional costs to City occasioned by any default by Consultant. Upon
receipt of a termination notice, Consultant shall immediately discontinue its provision of
the Services and, within five (5) days of the date of the termination notice, deliver or
otherwise make available to City, copies (in both hard copy and electronic form, where
applicable) of project related data, design calculations, drawings, specifications, reports,
estimates, summaries and such other information and materials as may have been
accumulated by Consultant in performing the Services. Consultant shall be compensated
on a pro-rata basis for Services completed up to the date of termination.
8.5 Consultant shall maintain books, ledgers, invoices, accounts and other records and
documents evidencing costs and expenses related to the Services for a period of three (3)
years, or for any longer period required by law, from the date of final payment to
Consultant pursuant to this Agreement. Such books shall be available at reasonable times
for examination by City at the office of Consultant.
8.6 This Agreement, including the Exhibits incorporated herein by reference, represents the
entire agreement and understanding between the Parties as to the matters contained
herein, and any prior negotiations, written proposals or verbal agreements relating to such
matters are superseded by this Agreement. Except as otherwise provided for herein, any
amendment to this Agreement shall be in writing, approved by City and signed by City
and Consultant.

8.7 This Agreement shall be governed by and construed in accordance with the laws of the
State of California, without regard to its conflicts of laws provisions. The Parties agree
that all actions or proceedings arising in connection with this Agreement shall be tried
and litigated only in the state courts located in San Bernardino County, California, and
the federal courts located in Riverside County, California.
8.8 If one or more of the sentences, clauses, paragraphs or sections contained in this
Agreement is declared invalid, void or unenforceable by a court of competent
jurisdiction, the same shall be deemed severable from the remainder of this Agreement
and shall not affect, impair or invalidate the remaining sentences, clauses, paragraphs or
sections contained herein, unless to do so would deprive a Party of a material benefit of
its bargain under this Agreement.

Task 1. Project Management
Project management includes general management activities that are not specific to any one task,
including overall project management; coordination of activities and communication with City
staff; quality control and quality assurance activities; and invoicing.
This task involves monthly meetings between the Project Manager and the City, held either at the
city office or via video conferencing, to discuss the overall project status, potential delays, and
budget updates. The Consultant's Project Manager is responsible for providing monthly invoices.
Monthly one -hour collaboration session between the Project Manager and city staff to cover the
following:
o Identification and resolution of any project issues or roadblocks, along with discussion of
upcoming deadlines and regulations.
o Evaluation of proposed changes to project scope, timeline, or budget.
o Dialogue on necessary resources, equipment, or materials for the project.
o Preparation for next months meeting, including the identification of agenda items and
action items.
Task 2. Recycled Water Annual Inspections
A certified American Water Works Association (AWWA) Cross -Connection Specialist Inspector
(Inspector) will contact the customer to schedule the annual inspection. This inspection will
provide general recycle water (RW) inspection services for existing irrigation systems as part of
the annual inspection and coverage test requirements. The inspection services will be performed
in general compliance with City and State Water Resources Control Board (SWRCB)
requirements.

The inspections will include, at a minimum, a visual examination of all backflow prevention
assemblies, exposed piping, valves, pressure reducing valves, sprinklers, controllers, signs,
labels, tags, and all points of connection. The Inspector will observe the irrigation system to
assess any modifications (e.g., new mainline/valves). If changes are detected, they will be
documented in the Inspection Report. If significant system alterations are noted, requiring
construction changes, proper processes will be followed for re -review and re -approval by all
regulatory entities.
As part of this task, the Inspector will conduct a coverage test to ensure the proper operation of
the irrigation system(s). Additionally, they will need to schedule and coordinate with the
customer for a final walk-through to check for completion of punch list items. The city
anticipates up to 70 sites that are due for the annual inspection once this contract is executed. It is
the responsibility of the Inspector to schedule and coordinate all inspections. If a customer is
non -responsive, the Inspector must notify the city and proceed to the next customer to avoid any
delays.
Task 3. Recycled Water Cross -Connection Quadrennial Testing
The cross -connection control shutdown test is based in law on Section 13521 and 13523 of the
California Water Code; Sections 60314 and 60316 of Title 22; Section 7604 of Title 17 of the
California Code of Regulations and Chapter 7, Sections 116800 and 116805 of the California
Health and Safety Code. The individual overseeing the cross -connection control test will hold a
current State of California recognized certification as a Cross -Connection Control Specialist. All
cross -connection testing will be conducted in accordance with Method 1 as specified in the latest
edition of the San Diego County Department of Environmental Health and Quality Recycled
Water and Inspection Manual, which serves as the guiding framework for the city. The test will
include two phases: (1) a 4-hour domestic (potable) water use phase shutdown test and (2) a 4-
hour irrigation (recycled water) use phase shutdown test. The Inspector is responsible for
ensuring that if a cross -connection is identified at the user's site, immediate action is taken. The
user must promptly discontinue the use of potable water and isolate the on -site potable water
system from the public supply at the point of connection. Before potable water service can be
resumed, the cross -connection must be removed, and the site inspected and approved by the city.
If it is determined that RW has entered the user's potable water system, the system must also be
disinfected and tested before service can be resumed. Within the contract duration, a minimum of
thirty-five (35) cross -connection tests are anticipated. The contractor will provide Cross -
Connection test results per site.
Task 4. Recycled Water Inspection and Cross -Connection Testing for New Construction Projects
The Consultant is expected to reach out to the customer to arrange a preconstruction meeting.
This meeting will cover the City's rules and regulations, construction requirements, and
inspection notices for mainline pressure testing. It is the Consultant's responsibility to schedule
and coordinate a preliminary walk-through with the customer and prepare a punch list of any
items to be completed before the final inspection. The inspection will include observing the
irrigation system for general compliance with plans and specifications. If the system is not in

general compliance, the Inspector will inform the customer of any necessary changes. If the
customer fails to comply with the requirements, this activity may require repeat visits to the site.
If minor system changes are necessary during construction, the Inspector will coordinate changes
with the customer and have those changes noted on the as -built drawings. If major system
changes are necessary during construction the Inspector will require a re -submittal of the plans
for re -review and re -approval.
Once complete, the Inspector will schedule and coordinate with the customer a final walk
through and check for completion of punch list items. Note*Cross-Connection testing of the site
will be conducted as described in Task 3. Test results will be submitted to the SWRCB and to the
City via email. The Consultant is responsible for providing detailed reports for each site, which
must be submitted to the City upon completion of the project.
The Inspector is also responsible for recording the site's potable and RW feature locations and
types, such as meters, meter sizes, backflow device models and sizes, water features, quick
coupler valves, remote control valves, recycled water signs, gate valves, and other related
features in the City's GIS using Field Maps.
Note* The successful Consultant will have the appropriate credentials to input this data into the
City's GIS portal. Within the contract duration, a minimum of seven (7) inspections for recycled
water and cross -connection tests are anticipated.
Task 5. Recycled Water Irrigation Plan Review
The city is expected to have at least seven (7) RW irrigation plan reviews.
• Evaluate irrigation plans for general compliance with the City and SWRCB requirements.
If plans are not in general compliance, annotate the plans and/or provide correspondence
to the owner identifying the necessary changes.
• Review revised plans for conformance to comments and for potential changes made
which were not illustrated on the original plan review submittal.
• Submit final plans and Supplemental Title 22 Engineering Report to the SWRCB for
approval.
• Once approved by the SWRCB, submit final plans in PDF format to the City for
approval.
Task 6. Additional Recycled Water Services
The city may request additional task(s) related to RW services such as review of current and
future Ordinance, retrofit plans, guidance for converting city -owned orchards to recycle water
irrigation, updating RW documents, conducting and coordinating Site Supervisor training, as
needed.
Note* The Consultant will wait to initiate work on this Task until they receive a specific request
and a notice to proceed from the city.

Task 7. Non -Potable Water Irrigation Plan Review
The City is expected to have at least thirteen (13) NP water irrigation plan reviews.
• Evaluate irrigation plans for general compliance with the City and SWRCB requirements.
If plans are not in general compliance, annotate the plans and/or provide correspondence
to the owner identifying the necessary changes.
• Review revised plans for conformance to comments and for potential changes made
which were not illustrated on the original plan review submittal.
• Submit final plans and Supplemental Title 22 Engineering Report to the SWRCB for
approval.
• Once approved by the SWRCB, submit final plans in PDF format to the City for
approval.
Task 8. Non -Potable Water Inspection and Cross -Connection Testing for New Construction
Projects
It is expected that the Consultant will contact the customer to schedule a preconstruction meeting
to discuss the City's rules and regulations, construction requirements, and inspection notices for

The Inspector is also responsible to record in the City's GIS using Field Maps the site's potable
and recycled water feature locations and types such as meter(s), meter size(s), backflow device
model(s) and size(s), drinking fountain(s), quick coupler valves, remote control valves, recycled
water signs, gate valves, and other related features. Note* The successful Consultant will have
the appropriate credentials to input this data into the City's GIS portal. The city is expected to
have at least thirteen (13) NP water inspections and cross -connection tests for new construction
projects.

Task 9. Additional Non -Potable Water Services
The City may request additional task(s) related to NP water services, such as retrofit plans, site
surveys of existing users located within the NP water service area that will eventually receive
RW, updating NP water documents, conducting and coordinating Site Supervisor training,
conducting cross -connection testing and annual inspection of existing NP water users, as needed.
Note* The Consultant will wait to initiate work on this Task until they receive a specific request
and a notice to proceed from the city.
Task 10. Preparation of the Cross -Connection Control Plan
The Cross -Connection Control Policy Handbook (CCCPH), when adopted, will require a Public
Water System (PWS) to submit, within one year, a written Plan to the SWRCB that describes the
PWS current Program and how the PWS will meet and maintain compliance with the
requirements of the CCCPH. As part of this effort, the Consultant must be a certified AWWA
Cross -Connection Control Specialist and is expected to will review the City's current Cross -
Connection Control Program (Program) and provide recommendations for improvements that
will be included in the Plan. Task 10 will be split into sub tasks to enhance clarity, efficiency,
and thorough understanding of the City's PWS Program and Plan.
o 10.1 Meetings
One (1) In -person Kick-off Meeting (1.5 hrs.): Overview of the purpose and
objective of the CCCPH requirements, Information gathering and request,
discussion/collaboration, and next steps.
Three (3) virtual meetings (1.0 hrs./meeting): These meetings will provide an
opportunity for in-depth discussions, allowing for a comprehensive exploration of
the Program's status, challenges, and potential areas for improvement. Through
these collaborative sessions, the Consultant and City staff will closely collaborate
to ensure alignment on objectives, identify any necessary adjustments, and
develop a clear roadmap for moving forward effectively.
One (1) In -person meeting (1.5 Hrs.) to discuss and review the Consultants
recommendations.
One (1) virtual meeting (1.5 hrs.) with the SWRCB and the City to discuss the
adopted CCCPH and Plan expectations and format.
Two (2) virtual meetings to (1.0 hrs./meeting) to discuss required information
outlined in the Plan. These virtual sessions serve as a platform for thorough
discussions and exchanges of pertinent details, ensuring a comprehensive
understanding of the Plan's requirements.

One (1) In -person meeting (1.5 hrs.) will be arranged to facilitate a detailed
discussion of the Draft Plan. During this meeting, participants will have the
chance to provide feedback, raise any concerns, and collaborate on refining the
Plan to ensure it aligns effectively with project objectives and stakeholder
requirements.
o 10.2 Data Collection

Access to the backflow software
Current cross -connection and backflow test report forms
Current City's approved backflow tester list
o 10.3 Cross -Connection Control Plan
The Consultant to review the current City's Program to assess potential
deficiencies and improvements. Findings will be summarized in a Technical
Memorandum (TM).
The Consultant will be responsible for preparing a Cross -Connection Control Plan
based on the adopted CCCPH. Elements of the Plan, as outlined in the draft
CCCPH, will include a discussion of:
City's Operating Rules and Ordinances
Cross -Connection Control Program Coordinator
Hazard Assessments
Backflow Prevention
Certified Backflow Prevention Assembly Testers and Specialists
Backflow Prevention Assembly Testing
Recordkeeping
Backflow Incident Response, Reporting, and Notification
Public Outreach and Education
Local Entity Coordination
The schedule for all deliverables (i.e., Draft and TM) will be discussed during the
Draft Plan meeting.
Task 11. Additional Cross -Connection Control Program Services
The city may request additional task(s) related to Cross -Connection Program services, such as
updating the City's Ordinance Chapter 13.20; conducting site hazard assessment; backflow

protection compliance at existing sites; or verification of backflow testers test results by visiting
the user premise and confirming backflow prevention assembly serial number and size.
Note* The Consultant will wait to initiate work on this Task until they receive a specific request

. Hourly rates include charges for technology and communkcation, such as general and CAD computer software,
telephone calls, routine In-house copies/prints, postage, miscellaneous supplies, and other incidental project expenses.
■ Outside services, such as vendor reproductions, prints, and shipping; major West Yost reproduction efforts; as well as
engineering supplies, etc., will be billed at the actual cost plus 15%.
• The Federal Mileage Rate will he used for mileage charges and will be based on the Federal Mileage Rate applicable to
when the mileage costs were incurred. Travel other than mileage will be billed at cost.
• Subconsultants will be billed at actual cost plus 10%.
• Expert witness services, research, technical review, analysis, preparation, and meetings will be billed at 150% of standard hourly
rates. Expert witness testimony and depositions will be billed at 200% of standard hourly rates.
▪ A finance charge of 1.5%per month (an annual rate of 18%) on the unpaid balance will be added to invoice amounts
if not paid within 45 days from the date of the invoice.

EXHIBIT "C"
WORKERS' COMPENSATION INSURANCE CERTIFICATION
Every employer, except the State, shall secure the payment of compensation in one or more of
the following ways:
(a)

By being insured against liability to pay compensation by one or more insurers
duly authorized to write compensation insurance in this State.
By securing from the Director of Industrial Relations, a certificate of consent to
self -insure, either as an individual employer, or as one employer in a group of
employers, which may be given upon furnishing proof satisfactory to the Director
of Industrial Relations of ability -to self -insure and to pay any compensation that
may become due to his or her employees.

v I am aware of the provisions of Section 3700 of the Labor Code which requires every
employer to be insured against liability for Workers' Compensation or to undertake self-
insurance in accordance with the provisions of that Code, and I will comply with such provisions
before commencing the performance of the work and activities required or permitted under this
Agreement. (Labor Code §1861).
I affirm that at all times, in performing the work and activities required or permitted under
this Agreement, I shall not employ any person in any manner such that I become subject to the
workers' compensation laws of California. However, at any time, if I employ any person such
that I become subject to the workers' compensation laws of California, immediately I shall
provide the City with a certificate of consent to self -insure, or a certification of workers'
compensation insurance.
I certify under penalty of perjury under the laws of the State of California that the information
and representations made in this certificate are true and correct.
