BETWEEN THE CITY OF REDLANDS AND
THE UNIVERSITY OF REDLANDS
FOR STANDBY PARAMEDIC SERVICES
This Memorandum of Understanding is made and entered into this 17`' day of September
2024 (the Effective Date) by and between the City of Redlands, a municipal corporation and
general law city ("City") and the University of Redlands, a California nonprofit educational
corporation ("University"), who each are sometimes individually referred to herein as a "Party',
and collectively, as the "Parties,"
RECITALS
WHEREAS, the University has requested that the City enter into this Memorandum of
Understanding to allow for the provision of standby paramedic services provided by the Redlands
Fire' Department to provide first response medical care at university football -games and other
University events; and
WHEREAS, the University agrees to compensate City for the provision of standby
emergency services by the Redlands Fire Department at each University football games and other
special events as agreed to by the City and University; and
WHEREAS, this Memorandum of Understanding shall commence on the effective date
and continue through June 30, 2026; and
WHEREAS; the Fire Chief ;concurs with, and consents to this Memorandum of
Understanding..
NOW, THEREFORE, for good and valuable consideration, the receipt of which is hereby
acknowledged, the City and University agree as follows;
AGREEMENT
1. The Redlands Fire Department shall provide Advanced L.ifeSupport (ALS)standby
Paramedic services ("Services') at ibotball games at the University for aduration of six hours each
game during the school year beginning September of each year, as well as the annual graduation
ceremony, and other special events as agreed to by both the City and University. The Services
Shall include the following:
A. Provide ALS (Paramedic) service with a standby crew consisting of a Paramedic
Squad, All Risk Vehicle (ARV), or fire support vehicle staffed by two (2) Redlands
Fire Department personnel for ALS medical care at university football games for a
duration ofsix hours per game. The football season schedule must be provided by the
University as soon as it becomes available and no later than two weeks prior to the
first home game.

B. ,Provide ALS (Paramedic) service with a standby crew consisting of a Paramedic
Squad, All Risk Vehicle (ARV); or fire support vehicle staffed by two (2) Redlands Fire
Department personnel for ALS medical care at annual University graduation ceremonies,
and other special events as agreed to by both the City and University.
C, The standby crew will be present at Ted Runner Stadium, 1200 E Colton Ave,
Redlands, CA 92374 at all scheduled dates and times, unless advised differently by the
University:
D. University shall make a written request to the Fire Chief for additional Services for
playoff games or other special events which may be scheduled by the University.
E. Requests for Standby Paramedic services for graduation ceremonies, or other special
event, must be submitted at least two weeks before the event. Provision of these
services is subject to the availability of personnel and requires the approval ofthe Fire
Chief or his designee.
2. University shall compensate the City for the Services at the City rates in Exhibit A
which are in effect on the Effective Date of this Memorandum of Understanding. The City rates
reflect the actual and reasonable costs incurred by the City in providing the Services.
3, The University will provide the Fire Chief with any additional changes in
scheduling, cancellations, reporting location, special Instructions, or guidelines, and point of
contact information.
4. Either party may terminate this Memorandum of Understanding in the event that the
Redlands Fire Department could not provide the appropriate staff to provide the services clue to it
city-wide emergency or a department staffing shortage at any time by ,giving fourteen (14) days
prior written notice ofterm ination to the other Party. All outstanding charges for Services rendered
Lip to the date of termination shall be paid to City on the effective date of termination.
5. City shall hold harmless, defend and indemnity the University, and its officers, board
members, employees and agents from and against any and all claims, losses, damages, liabilities
and expenses, including but not limited to attorneys' fees, arising out of or resuitingfrotn the City's
performance under this Memorandum of Understanding, provided that any such claim, loss,
damage, liability or expense is attributable to bodily injury, sickness, disease, death or injury to or
destruction of property, and arises out of is connected with the performance of the Services by
City under this Memorandum of Understanding. Nothing herein shall be interpreted to obligate
City to indemnify and defend the University and its officers, board members, employees and
agents for the University's sole negligence or willful misconduct,
The University shall hold harmless, defend and indemnify City, and its officers, employees,
and agents from and against any and all claims, losses, damages, liabilities and expenses, including
but not limited to attorneys' fives, arising out of or resulting from the University's performance
under this Memorandum of Understanding, provided that any such claim, loss, damage, liability
or expense is attributable to bodily injury, sickness, disease, death or injury to or destruction of

property, arises out of or is connected with the performance of the of University under this
Memorandum of Understanding. Nothing herein shall be interpreted to obligate University to
indemnify and defend the City and its officers, employees, and agents for the City's sole
negligence or willful misconduct,
in the event of concurrent negligence, the liability for any and all claims for injuries or
damages to persons and/or property which arise out of or relate to this Memorandum of
Understanding shall be apportioned Linder the California theory of comparative negligence as
established presently, or as may be hereafter modified.
6. Both Parties shall self -insure or maintain a policy or policies of insurance as set
forth below for the term of this Memorandum of Understanding
A. Workers' Compensation and, Employer's Liability insurance in the amount that meets
statutory requirements or certification of self -insured or exemption from the workers'
compensation laws of the State of California.
B. Comprehensive General Liability insurance in the minimum amount of One Million
Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) aggregate,
for public liability, property damage and personal injury is required,
C, Business Auto Liability coverage, with minimum limits of One Million Dollars
($1,000,000) per occurrence, combined single Ifin itbodily injury liability and property
damage liability. This coverage shall include all owned vehicles, hired and non -owned
vehicles, and employee non -ownership vehicles.
7, The University's Department of Public Safety shall cooperate with the City and its Fire
Department in any emergency incidents relating to actions pursuant to the authority provided by
this Memorandum of Understanding.
3, In the event any action is commenced to enforce or interpret the terms or conditions
of this Memorandum of Understanding, the prevailing party in such action shall be entitled to
recover, in addition to its costs and other relief, its reasonable attorneys' fees, including fees for
in-house counsel of the respective Parties at rates prevailing in San Bernardino County, California,
9_ This Memorandum of Understanding represents the entire agreement of the Parties
hereto as to the matters contained herein, and any prior negotiations, verbal, and written
agreements with regard to the subject matter hereof between the City and the University are
superseded by this Memorandum of Understanding. Any amendment to this Memorandum of
Understanding shall be in writing,, approved by City and signed by City and University,
