RESOLUTION OF THE CITY COUNCIL OF
THE CITY OF REDLANDS APPROVING
THIRD AMENDMENT TO DISPOSITION AND
DEVELOPMENT AGREEMENT AND MAKING
SECTION 33445 FINDINGS
(Santa Fe Depot Rehabilitation Project)
WHEREAS, in order to effectuate the provisions of the
Redevelopment Plan for a redevelopment project known as the
Redlands Redevelopment Project Area (the "Project Area") , for the
disposition, rehabilitation and development of a restaurant and
related parking, vehicular and pedestrian improvements located in
and around the Santa Fe Depot facility (collectively the "Site") ,
the Redevelopment Agency of the City of Redlands (the "Agency")
proposes to enter into a T ird Amendment to Disposition and
Development Agreement ("Third Amendment") with Ismail Yassai, Leane
G. Yassai, Jaf ar Yassai, Sey ed Hajar Yassai, Hormoz Zahiri , and
Robabeh Zahiri (collectively the "Redeveloper") ;
WHEREAS, before the Agee--y can enter into the Third Amendment
the City Council of the City 3f Redlands (the "City Council") must
make certain findings and app-ave the Third Amendment in accordance
with Section 33445 of the HeE.lth and Safety Code;
WHEREAS, the City Council has reviewed and considered the
Third Amendment and has determined that the development of publicly
owned offsite improvements in accordance with the Third Amendment
is in the best interests of the citizens of Redlands and is
consistent with the goals set forth in the Redevelopment Plan for
the Project Area; and

WHEREAS, the City Council has received and duly considered
testimony presented at public hearing.
NOW, THEREFORE, BE IT RESOLVED, DETERMINED AND ORDERED BY THE
CITY COUNCIL OF THE CITY OF REDLANDS AS FOLLOWS:
Section 1 . The City Council hereby finds and determines
both of the following:
(a; That the offsite work and improvements to bepaid
for by the Ag yncy pursuant to the Third Amendment are of benefit to
the Project ._::-ea cr the immediate neighborn.00d in which the Project
is located; ,d
(b That no other reasonable means of financing such
work and improvements are available to the community.
Section 2 . The City Council hereby approves the Third
Amendment by and between the Agency and Redeveloper, which Third
Amendment sh:--1 be in substantially the same form as that attached
to this Resolution and incorporated herein by reference, with such
non-material changes and revisions, if any, as shall be recommended
by Agency Counsel and approved by the Executive Director.
