This first amendment ("First Amendment") to the agreement for the provision of
professional environmental consulting services to update the City's Climate Action Plan
("Agreement"), dated December 19, 2023, by and between the City of Redlands, a municipal
corporation and a general law city ("City"), and Dyett & Bhatia, Urban and Regional Planners, a
California corporation ("Consultant"), is made and entered into this 17t" day of December 2024.
RECITALS
WHEREAS, the Parties entered into a Professional Services Agreement ("Agreement") on
December 19, 2023, for the provision of professional environmental consulting services related to
updating the City's Climate Action Plan;
WHEREAS, it is the desire of the Parties to amend their existing Agreement, specifically
to expand the Scope of Services, increase the total not -to -exceed amount of the Agreement, and
extend the deadline for the performance of the services by the Consultant.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 4 of the Agreement, entitled "Performance of Services," is hereby
amended to read as follows:
"4.2 Consultant shall complete the Services by December 31, 2025, unless the services are
terminated earlier as provided for herein."
Section 2. Article 5 of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:
"5.1 Compensation: Total compensation for Consultant's performance of the Services shall not
exceed the amount of One Hundred Fifty -One Thousand Four Hundred Dollars ($151,400). City
shall pay Consultant on a time and materials basis up to the not -to -exceed amount in accordance
with Exhibit "C," titled "Budget," which is attached hereto and incorporated herein as reference.
Section 3. Exhibit "A" of the Agreement, entitled "Scope of Services," is hereby
amended as shown in Attachment "1," attached to this Amendment.
Section 4. Exhibit `B" of the Agreement, entitled "Project Schedule," is hereby amended
as shown in Attachment "2," attached to this First Amendment.
Section 5. Exhibit "C" of the Agreement, entitled "Budget," is hereby amended as shown
in Attachment "3," attached to this First Amendment.

Section 6. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
Section 7. The recitals above are true and correct and are hereby incorporated herein by
this reference.
Section 8. This First Amendment may be executed in counterparts, each of which shall be
deemed an original, but all of which, together, shall constitute one and the same instrument
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of December 17, 2024.
