This second amendment ("Second Amendment") to the agreement for groundwater well
and booster pump services ("Agreement"), dated November 1, 2022, by and between the City of
Redlands, a municipal corporation and a general law city ("City"), and General Pump Company
("Contractor'), is made and entered into this 4t' day of February 2025.
RECITALS
WHEREAS, it is the desire of the City and Contractor to amend their existing Agreement,
specifically amend the compensation for Contractor's performance of services during the Extended
Term to $1,125,000.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Contractor agree as follows:
AGREEMENT
Section 1. 5.1 of the Agreement, entitled ".Article 5 — Payments to Contractor," is hereby
amended to read as follows:
5.1 "The compensation for Contractor's performance of the Services shall not exceed the
amount of three hundred seventy-five thousand dollars ($375,000) for the Services provided during
the Initial Term. Should this Agreement be renewed, the compensation. for Contractor's
performance for the Services shall not exceed the amount of one million two hundred fifty
thousand dollars ($1,250,000.00) for the Extended Term, bringing the total possible amount of
compensation to a not -to -exceed amount of one million six hundred twenty-five thousand dollars
($1,625,000.00). For the Initial Term and Extended Term, City shall pay Contractor on a time and
materials basis up to the not -to -exceed amount in accordance with the rates specified in Exhibit
"C", titled "Price and Fee Bid", which is attached hereto and incorporated herein by reference."
Section 2, All other provisions of the Agreement and First Amendment shall remain
unchanged by this Second Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this Second Amendment, to be
effective as of February 4, 2 02 5.
