This first amendment ("First Amendment') to the agreement for professional architectural
services ("Agreement'), dated May 3, 2024, by and between the City of Redlands, a municipal
corporation and a general law city ("City"), and Higginson Architects, Inc., a California
corporation ("Consultant'), is made and entered into this 4"' day of March 2025.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing
Agreement, specifically the term of the Agreement in Article 4, Section 4.1; and
WHEREAS, it is the desire of the City and Consultant to extend the term of the
Agreement until December 31, 2025.
WHEREAS, the Consultant requires additional time to complete the project, and such
extension is necessary due to unforeseen circumstances beyond the control of both the
Consultant and the City, with no fault attributable to either party;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 4, entitled "Performance Of Services," Section 4.1 of the Agreement, is
hereby amended to read as follows:
"The term of this Agreement shall be extended until December 31, 2025, unless
terminated earlier as provided herein."
Section 2. All other provisions of the Agreement shall remain unchanged and in full force
and effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of March 4, 2025.
