This first amendment ("First Amendment") to the agreement for Design and Construction
Management of a Public Safety Facility services ("Agreement"), dated February 21, 2023 by and
between the City of Redlands, a municipal corporation and a general law city ("City"), and Holt
Architects, Inc., a California corporation ("Consultant"), is made and entered into this 15th day of
April, 2025.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically regarding total compensation;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 5 of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:
"Compensation: Total compensation for Consultant's performance of the Services shall
be in the amount of Four Million Five Hundred Thirty Seven Thousand Five Hundred and Sixty -
Three Dollars ($4,537,563). City shall pay Consultant in accordance with Exhibit "C," titled "Fee
Schedule " which is attached hereto and incorporated herein by this reference."
Section 2. The Agreement is amended to replace Exhibit "C" with a new Exhibit `C"
attached hereto as Attachment 1 to this FirstAmendment.
Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of April 15, 2025.
