HomeMy WebLinkAboutContracts & Agreements_64-2025FIRST AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES This first amendment ("First Amendment") to the agreement for the provision of Live Oak Canyon Road, San Timoteo Canyon Road and Alessandro Road Drainage Study ("Agreement"), dated November 19, 2024, by and between the City of Redlands, a municipal corporation and a general law city ("City"), and Watearth, Inc, a Texas corporation ("Consultant"), is made and entered into this 6th day of May, 2025. RECITALS WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement, specifically regarding Compensation to Consultant and to amend the term of the agreement to September 30, 2025. NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Consultant agree as follows: AGREEMENT Section 1. Section 4.2 of the Agreement, entitled "Performance of Services" ," is hereby amended to read as follows: "Consultant shall complete the Services by September 30, 2025, unless the Services are terminated earlier as provided for herein." Section 2. Section 5.1 of the Agreement, entitled "Compensation," is hereby amended to read as follows: "Compensation: Total compensation for Consultant's performance of the Services shall not exceed the amount of One Hundred Fifty Nine Thousand Nine Hundred One Dollars ($159,901.00). City shall pay consultant on a time and materials basis up the the not to exceed amount in accordance with Exhibit `B" titled, "Fee Schedule" which is attached hereto and incorporated herein by reference." Section 3. All other provisions of the Agreement shall remain unchanged by this First Amendment and in effect.
