SERVICES
This First Amendment ("First Amendment") to the Citywide Water Meter Replacement
Project Agreement to Perform Non -Professional Services ("Agreement"), dated September 5,
2023, by and between the City of Redlands, a municipal corporation and a general law city
("City"), and Ferguson Enterprises, LLC, a Virgina limited liability company ("Contractor"), is
made and entered into this 20a` day of May, 2025.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend Article 5.1 of the
Agreement to increase the compensation for Contractor's performance of the services to
$6,915,828.08;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledge City and Consultant agree as follows:
AGREEMENT
Section 1. Section 5.1 of the Agreement, titled "PAYMENTS TO CONTRACTOR," is
hereby amended to read as follows:
"5.1 The compensation for Contractor's performance of the Services shall not exceed the
amount of Six Million Nine Hundred Fifteen Thousand Eight Hundred Twenty -Eight
Dollars and Eight Cents ($6,915,828.08) for the Services provided during the Agreement
Term. City shall pay Contractor on a time and materials basis up to the not -to -exceed
amount in accordance with the rates specified in Exhibit "B," titled Rate Sheet," which is
attached hereto and incorporated herein by reference."
Section 2. The Rate Sheet set forth in Exhibit `B" of the Agreement is hereby amended as
set forth in Attachment "1," which is attached hereto and incorporated herein by this reference.
Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.

as of May 20, 2025.
