HomeMy WebLinkAboutContracts & Agreements_106B-2025AGREEMENT FOR THE PROVISION OF PROFESSIONAL ENVIRONMENTAL CONSULTING SERVICES FOR A PRIVATE PROJECT This agreement for the provision of professional environmental consulting services ("Agreement") is made and entered into this 5"' day of June, 2025 ( "Effective Date"), by and between the City of Redlands, a municipal corporation ("City") and Chambers Group, Inc., a California corporation ("Consultant"), who are sometimes individually referred to herein as a "Party" and, together, as the "Parties." In consideration of the mutual promises contained herein, City and Consultant agree as follows: ARTICLE 1— ENGAGEMENT OF CONSULTANT 1.1 City hereby engages Consultant to provide professional environmental consulting services for City (the "Services"). 1.2 The Services shall be performed by Consultant in a professional manner, and Consultant represents that it has the skill and the professional expertise necessary to provide the Services to City at a level of competency presently maintained by other practicing professional consultants in the industry providing like and similar types of Services. ARTICLE 2 — SERVICES OF CONSULTANT 2.1 The Services that Consultant shall perform are more particularly described in Exhibit "A," titled "Scope of Services," including a project schedule, which is attached hereto and incorporated herein by reference. 2.2 Consultant shall comply with applicable federal, state and local laws and regulations in the performance of this Agreement including, but not limited to, State prevailing wage laws. ARTICLE 3 —RESPONSIBILITIES OF CITY 3.1 City shall make available to Consultant information in its possession that may assist Consultant in performing the Services. 3.2 City designates Brian Desatnik, City's Development Services Director, and his designees, as City's representatives with respect to performance of the Services, and such person shall have the authority to transmit instructions, receive information, interpret and define City's policies and decisions with respect to performance of the Services. ARTICLE 4 — PERFORMANCE OF SERVICES 4.1 Consultant shall perform and complete the Services in accordance with the project schedule. The Services shall commence on the Effective Date of this Agreement and be completed on or before March 31, 2026. 1 I emo\AgreementAChambers Group, Inc. Environmental Consulting Services Agreement FY25-0087.docx-ms 4.2 If Consultant's Services include deliverable electronic visual presentation materials, such materials shall be delivered in a form, and made available to the City, consistent with City Council adopted policy for the same. It shall be the obligation of Consultant to obtain a copy of such policy from City staff. ARTICLE 5 — PAYMENTS TO CONSULTANT 5.1 The total compensation for Consultant's performance of the Services shall not exceed the amount Eighty -Five Thousand Five Hundred Two Dollars ($85,502). City shall pay Consultant on a time and materials basis, up to the not to exceed amount, in accordance with Exhibit "B," titled "Project Costs and Hourly Rates," which is attached hereto and incorporated herein by this reference. 5.2 Consultant shall submit an invoice to City describing the Services performed, the dates the Services were performed, and the number of hours spent and by whom, upon completion of the Services. City shall pay Consultant no later than thirty (30) days after receipt and approval by City of Consultant's invoice. 5.3 Any notice or other communication required, or which may be given, pursuant to this Agreement, shall be in writing. Any such notice shall be deemed delivered (i) on the date of delivery in person; (ii) five (5) days after deposit in first class certified, registered or express mail, with return receipt requested; (iii) on the actual delivery date if deposited with an overnight courier; or (iv) on the date sent by facsimile or electronic mail transmission (including PDF), if confirmed with a copy sent contemporaneously by first class, certified, registered or express mail; in each case properly posted and fully prepaid to the appropriate address set forth below, or such other address as a Party may provide notice in accordance with this section: City: Brian Desamik, Director Development Service Department 35 Cajon Street, Ste. 20 P.O. Consultant shall not perform any Services unless and until the required insurance listed below is obtained by Consultant. Consultant shall provide City with certificates of insurance and endorsements evidencing such insurance prior to commencement of the Services. Insurance policies shall include a provision prohibiting cancellation or modification of the policy except upon thirty (30) days prior written notice to City. 2 I:\cmo\Agreenrents\Chambers Oroup, Inc. Workers' Compensation and Employer's Liability insurance in the amount that meets statutory requirements with an insurance carrier acceptable to City, or certification to City that Consultant is self -insured or exempt from the workers' compensation laws of the State of California. Consultant shall execute and provide City with Exhibit "C" titled "Workers' Compensation Insurance Certification," which is attached hereto and incorporated herein by this reference prior to performance of the Services. B. Comprehensive General Liability insurance with carriers acceptable to City in the minimum amount of One Million Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) aggregate, for public liability, property damage and personal injury is required. City shall be named as an additional insured and such insurance shall be primary and non-contributing to any insurance or self-insurance maintained by City. C. Business Auto Liability coverage, with minimum limits of One Million Dollars ($1,000,000) per occurrence, combined single limit bodily injury liability and property damage liability. This coverage shall include all Consultant owned vehicles used in connection with Consultant's provision of the Services, hired and non -owned vehicles, and employee non -ownership vehicles. City shall be named as an additional insured and such insurance shall be primary and non-contributing to any insurance or self- insurance maintained by City. D. Consultant is expressly prohibited from assigning or subcontracting any of the Services without the prior written consent of City. hi the event of mutual agreement by the Parties to assign or subcontract a portion of the Services, Consultant shall add such assignee or subcontractor as an additional insured to the insurance policies required hereby and provide City with the insurance endorsements prior to any Services being performed by the assignee or subcontractor. 6.2 Consultant shall defend, indemnify and hold harmless City and its elected officials, employees and agents from and against any and all claims, losses or liability, including attorneys' fees, arising from injury or death to persons or damage to property occasioned by any negligent act or omission by, or the willful misconduct of, Consultant, or its officers, employees and agents in performing the Services. ARTICLE 7 — CONFLICTS OF INTEREST 7.1 Consultant covenants and represents that it does not have any investment or interest in any real property that may be the subject of this Agreement or any other source of income, interest in real property or investment that would be affected in any manner or degree by the performance of Consultant's Services. Consultant further covenants and represents that in the performance of its duties hereunder, no person having any such interest shall perform any Services under this Agreement. 7.2 Consultant agrees it is not a designated employee within the meaning of the Political Reform Act because Consultant: 3 IAcnm\Agreements\Chambers Group, Inc. Does not make a governmental decision whether to: (i) approve a rate, rule or regulation, or adopt or enforce a City law; (ii) issue, deny, suspend or revoke any City permit, license, application, certification, approval, order or similar authorization or entitlement; (iii) authorize City to enter into, modify or renew a contract; (iv) grant City approval to a contract that requires City approval and to which City is a party, or to the specifications for such a contract; (v) grant City approval to a plan, design, report, study or similar item; (vi) adopt, or grant City approval of, policies, standards or guidelines for City or for any subdivision thereof. B. Does not serve in a staff capacity with City and in that capacity, participate in malting a governmental decision or otherwise perform the same or substantially the same duties for City that would otherwise be performed by an individual holding a position specified in City's Conflict of Interest Code under Government Code section 87302. 7.3 In the event City determines that Consultant most disclose its financial interests, Consultant shall complete and file a Fair Political Practices Commission Form 700, Statement of Economic Interests, with the City Clerk's office pursuant to the written instructions provided by the City Clerk. ARTICLE 8 — GENERAL CONSIDERATIONS 8.1 In the event any action is commenced to enforce or interpret any of the terms or conditions of this Agreement the prevailing Party shall, in addition to any costs and other relief, be entitled to the recovery of its reasonable attorneys' fees, including fees for the use of in- house counsel by a Party. 8.2 Consultant shall not assign any of the Services, except with the prior written approval of City and in strict compliance with the terms and conditions of this Agreement. Any assignment or attempted assignment without such prior written consent may, in the sole discretion of City, results in City's immediate termination of this Agreement. 8.3 Consultant is for all purposes Linder this Agreement an independent contractor and shall perform the Services as an independent contractor. Neither City nor its agents shall have control over the conduct of Consultant or Consultant's employees, except as herein set forth. Consultant shall supply all necessary tools and instrumentalities required to perform the Services. Assigned persomnel employed by Consultant are for its account only, and in no event shall Consultant or personnel retained by it be deemed to have been employed by City or engaged by City for the account of, or on behalf of City. Consultant shall have no authority, express or implied, to act on behalf of City in any capacity whatsoever as an agent, nor shall Consultant have any authority, express or implied, to bind City to any obligation. Environmental Consulting Services Agreement FY25-0087.docx-ins 8.4 This Agreement may be terminated by City, in its sole discretion, by providing not less than five (5) days prior written notice to Consultant of City's intent to terminate. If this Agreement is terminated by City, an adjustment to Consultant's compensation shall be made, but (1) no amount shall be allowed for anticipated profit or unperformed Services, and (2) any payment due Consultant at the time of termination may be adjusted to the extent of any additional costs to City occasioned by any default by Consultant. Upon receipt of a termination notice, Consultant shall immediately discontinue its provision of the Services and, within five (5) days of the date of the termination notice, deliver or otherwise make available to City, copies (in both hard copy and electronic form, where applicable) of project related data, design calculations, drawings, specifications, reports, estimates, summaries and such other information and materials as may have been accumulated by Consultant in performing the Services. Consultant shall be compensated on a pro-rata basis for Services completed up to the date of termination. 8.5 Consultant shall maintain books, ledgers, invoices, accounts and other records and documents evidencing costs and expenses related to the Services for a period of three (3) years, or for any longer period required by law, from the date of final payment to Consultant pursuant to this Agreement. Such books shall be available at reasonable times for examination by City at the office of Consultant. 8.6 This Agreement, including the Exhibits incorporated herein by reference, represents the entire agreement and understanding between the Parties as to the matters contained herein, and any prior negotiations, written proposals or verbal agreements relating to such matters are superseded by this Agreement. Except as otherwise provided for herein, any amendment to this Agreement shall be in writing, approved by City and signed by City and Consultant. 8.7 This Agreement shall be governed by and construed in accordance with the laws of the State of California. 8.8 If one or more of the sentences, clauses, paragraphs or sections contained in this Agreement is declared invalid, void or unenforceable by a court of competent jurisdiction, the same shall be deemed severable from the remainder of this Agreement and shall not affect, impair or invalidate the remaining sentences, clauses, paragraphs or sections contained herein, unless to do so would deprive a Party of a material benefit of its bargain under this Agreement. 1:\cmo\Agreements\Chambers Group, Inc. Environmental Consulting Services Agreement FY25-0087.docx-ms EXHIBIT "A" SCOPE OF SERVICES Consultant has prepared a scope of work and cost estimate to prepare the CEQA documentation according to all applicable state and local requirements that will be applied to the Proposed Project. The appropriate CEQA documentation for the Proposed Project will be determined through the preparation of an IS Checklist. Consultant will: • Assist with determining the level of documentation required (e.g., IS) based on the scope noted above. • Prepare all CEQA documentation according to all applicable state and local requirements, concurrent with construction approval of the Project. • Conduct data gathering and coordination with public agencies, as needed. • Provide technical studies, as needed. • Assist with coordination and collaboration with City staff, various consultants, and any State/local agencies, as Required. • Attend various City meetings. Consultant can continence work on this Project as soon as Consultant receives a written Notice to Proceed (NTP). Consultant will accomplish the scope of work as described in the following pages. Task 1: Project Initiation Task 1.1: Initial Meeting and Data Acquisition After receiving NTP, Consultant will be prepared to meet with representatives of the City at a Project Initiation/Dick-Off Meeting (in -person or via teleconference) to discuss project goals, project description, specific project issues, upcoming construction schedules, and CEQA schedule; as well as receive any pertinent Proposed Project information reports. Consultant will also survey the Proposed Project site and the immediate surrounding areas to make a photographic record to document the existing conditions. Consultant will review all available Proposed Project -related data and reports provided by the City. Following the review of existing data, any gaps in the data and recommendations for correcting the gaps would be discussed with the City. Consultant will work closely with the City to determine what additional data must be collected in support of the CEQA docurnent being prepared. It is assumed that Consultant can use these documents in the analysis of the Proposed Project. Task 1.2: Project Description Consultant will develop a comprehensive description of the Proposed Project that will form the basis for the analysis of the potential impacts on the environment, based on the information provided by the City. The project description will include a narrative and graphical presentation of the Project, including components, location and boundaries, regional and vicinity maps, and a statement of the project goals and objectives. Deliverables: One electronic Portable Document Format (PDF) and a Word copy of the Proposed Project Description for one round of City review. C\cmo\Agreements\Chambers Group, Inc. Environmental Consulting Services Agreement I+Y25-0087.docx-ms Task 2: Peer Review Task 2.1: Biological Resources Report Consultant staff will peer review the Applicant prepared biological resources report. This task assumes one round to review and a second round to confirm the revisions. An amendment to the contract will be provided should there be additional reviews and revisions needed. Task 2.2: Cultural Resources Report Consultant staff will peer review the Applicant prepared cultural resources report. This task assumes one round to review and a second round to confirm the revisions. An amendment to the contract will be provided should there be additional reviews and revisions needed. Task 2.3: Noise Report Consultant staff will peer review the Applicant prepared noise study. This task assumes one round to review and a second round to confirm the revisions. An amendment to the contract will be provided should there be additional reviews and revisions needed. Task 3: Prepare an IS Task 3.1: Administrative Draft IS Consultant will prepare an IS Checklist to confirm the preparation of appropriate CEQA Dociunentation for the Proposed Project. The IS will be prepared using the most recent revision of the IS Environmental Checklist Form suggested in the CEQA Guidelines Appendix G. In compliance with CEQA Section 15063, the IS will contain the following, in brief form: • A description of the project, including the location of the project; • An identification of the environmental setting; • A preliminary identification of environmental effects by using a checklist, matrix, or other method, with some evidence to support the entries; and • A preliminary discussion of the ways to mitigate the significant effects identified; if any. The environmental factors outlined in the CEQA checklist include: • Aesthetics • Agricultural and Forestry Resources • Air Quality • Biological Resources • Cultural Resources • Energy • Geology and Soils • GHGs • Hazards and Hazardous Materials • Hydrology and Water Quality • Land Use and Planning • Mandatory Findings of Significance • Mineral Resources • Noise • Population and Housing • Public Services • Recreation • Transportation • Tribal Cultural Resources (TCRs) • Utilities and Service Systems • Wildfire 1:\cmo\Agreements\Chambers Group, Inc. Task 3.2: Final Draft IS After receiving receipt of one set of integrated comments on the Draft IS from the City, Consultant will revise the IS accordingly. hi addition to the IS, Consultant will provide a recommendation for the appropriate level of CEQA documentation. Task 4: Technical Studies Based on the proposed work, the technical studies below are suggested to supplement the analysis in the appropriate CEQA document. Task 4.1: Air Quality, Energy, GHG Report The following scope outlines the preparation of the air quality, energy and GHG report by Vista Environmental. Existing Air Quality Setting, Regulatory Requirements and Thresholds • Provide a project description that details the project location and nearby sensitive receptors. • Identify the existing air quality setting in the area. • Identify GHGs and their associated impacts to global climate change. • Identify toxic air contaminants (TACs) and their potential health effects. • Identify applicable federal, state, and South Coast Air Quality Management District (SCAQMD's) rules and regulations and identify current attainment status of federal and state standards, and current SCAQMD attainment plans. • Obtain existing air quality data from air quality monitoring stations within the study area utilizing California Air Resources Board (CARB) data sources. Data will be obtained for air pollutants, including ozone, nitrogen dioxide (NO2), and particulate matter (PM10 and PM2.5). • Identify SCAQMD thresholds of significance for the criteria pollutants and GHGs. • Identify thresholds of significance for energy usage. Air Quality Analysis • Provide a project consistency analysis with the Air Quality Management Plan (AQMP). The consistency analysis will determine if the Project will contribute to air quality violations and if it will comply with AQMP control measures. I: eirm\AgreementAChambers Group, Inc. Environmental Consulting Services Agreement FY25-0087.docx-ms • Evaluate and quantify regional criteria pollutant emissions associated with each phase of construction activities for the Project utilizing the CalEEMod Model and construction assumptions provided by the Applicant. Compare the Proposed Project's construction - related regional criteria pollutant emissions to the SCAQMD thresholds. Evaluate local (nitrous oxides) NOx, (carbon monoxide) CO, (particulate matter) PM10, and PM2.5 emissions associated with each phase of construction activities for the Project at the nearest off -site sensitive receptors utilizing the SCAQMD Look -Up Tables and the methodology described in Localized Significance Threshold Methodology, prepared by SCAQMD, July 2008. • Provide a qualitative analysis of the construction -related TAC impacts from the Proposed Project and detail how due to the limited duration of construction activities that the cancer and non -cancer risks would be less than significant. • Evaluate and quantify regional criteria pollutant emissions associated with the operations of the Project utilizing the CatEEMod Model. Compare the Proposed Project's operational regional criteria pollutant emissions to the SCAQMD thresholds. • Evaluate local NOx, CO, PM10, and PM2.5 emissions created onsite from the operation of the Project at the nearest off -site sensitive receptors utilizing the SCAQMD Look -Up Tables and the methodology described in Localized Significance Threshold Methodology, prepared by SCAQMD, July 2008. • Provide a qualitative analysis of the operation -related (TAC) impacts from the Proposed Project and detail how due to the number of diesel truck deliveries and distance to the off -site homes that the cancer and non -cancer risks would be less than significant. • Prepare a qualitative CO hotspot analysis of the study area intersections that details the current attailmlent status of CO in the Air Basin as well as research performed by the SCAQMD that analyzed the four busiest intersections in the South Coast Air Basin and found less than significant local CO hotspot concentrations, in order to make a finding of less than significant for the Proposed Project. • Provide a qualitative odor analysis from construction and operation of the Proposed. Project. The odor analysis will identify the potential sources of odors and the mnnber of variables that can influence the potential for an odor impact as well as providing detail of what constitutes a significant odor impact. i Utilize the results of the above tasks to develop responses to each of the air quality - related CEQA checklist questions. 10 l:\cmo\Agrccments\Chambers Group, Inc. Hnvironmentat Consulting Services Agreement AY25-0082.doex-ms Energy Analysis Calculate construction energy usage through utilization of the California Emissions Estimator Model® (CalEEMod model) runs developed for the air quality analysis to quantify the total hours off -road equipment will operate, the total worker miles traveled, and total haul and vendor truck miles traveled during constriction of the four campuses combined. Utilize the fuel usage factors from OFFROAD2011 And off -road equipment operating hours to calculate the fuel usage from the off -road equipment. Utilize the vehicle fleet average miles per gallon rates from EMFAC2021 and the worker and truck vehicle miles traveled to calculate the fuel usage from on -road construction trips. • Calculate operational energy usage through utilization of the CalEEMod model runs developed for the air quality analysis to quantify electricity and natural gas usage rates from operation of the four campuses combined the total vehicle miles as well traveled (VMT) from operation of the Project. Utilize the vehicle fleet average miles per gallon rates from EMFAC2021 and the total VMT to calculate the fuel usage from operation of the Proposed Project. Provide an assessment of how the applicable renewable energy and energy efficiency rules and regulations will be implemented by the Proposed Project and where possible, quantify the energy savings achieved through implementing each rule and regulation. If the proposed project is found to be inconsistent with any rule or regulation, provide mitigation to ensure the Project meets the requirements. Utilize the results of the above tasks to develop responses to each of the energy -related CEQA checklist questions. GHG Emissions Analysis • Evaluate and quantify GHG emissions associated with construction and operation of the Proposed Project through utilization of the CalEEMod Model run used in the Air Quality Analysis. • Compare the construction and operational GHG emissions to the SCAQMD GHG emissions thresholds. If the GHG emissions exceed any applicable thresholds, provide mitigation to reduce the GHG emissions to less than significant. • Determine if the proposed project would conflict with the GHG emissions goals and policies provided in the City of Redlands Climate Action Plan (Redlands CAP), adopted December 5, 2017, and the 2022 Scoping Plan for Achieving Carbon Neutrality, prepared by CARB, November 16, 2022. • Utilize the results of the above tasks to develop responses to each of the GIIG-related CEQA checklist questions. 11 C\cmo\Agreements\Chambcrs Group, Inc. Environmental Consulting Services Agreement FY25-0087.docx-ms Report Preparation Prepare an Air Quality, Energy, and GI-IG Emissions Report documenting the results of the study and provide responses to each of the air quality, energy, and GHG emissions -related CEQA checklist questions. Task 4.2: VMT and Traffic Impact Analysis(TIA) General Technologies Solutions (GTS) will prepare the required traffic studies. The traffic study would follow the guidelines, requirements, and thresholds of significance for the City. The study will evaluate the potential traffic impacts associated with the Proposed Project in accordance with the City's thresholds of significance. Task 4.2.1 Scoping & VMT Screening A trip generation and Scoping memorandum will be prepared to estimate the number of daily trips generated by the Project as well as the trips generated during the AM and PM peak hours of a typical weekday. The seeping memorandum will also present the trip distribution assignment as well as the intersections and scenarios to be analyzed. A screening analysis will also be carried out per the City's VMT guidelines. Prior to the initiation of the analysis, we will coordinate with the applicant and then the City staff on the approval of trip generation and trip distribution to be used in the analysis. Deliverable: Seeping & VMT Screening Memorandutn Task 4.2.2: VMT Analysis We will use the City's adopted VMT guidelines as a guide in the development of VMT analysis for the Project. The VMT analysis will be based on the SBTAM (San Bernardino County Traffic Analysis Model) as suggested in the guidelines. The first step in preparation of this analysis will be to update the traffic analysis zones (TAZs) in the model that includes the project area. We will convert as needed the project land use into model socioeconomic categories using SCAG conversion factors. The socioeconomic data in the base and future year model scenarios will be updated with the project socioeconomic data. Upon completion of the socioeconomic data update, we will conduct model rums for both base and future year conditions. We will utilize the outputs from the model runs to estimate project VMT under base and cumulative scenarios. Both total project VMT and VMT per service population will be calculated for the project. The VMT per service population for the project will be compared with the VMT metrics listed in the City's Guidelines to identify the project's impact. Deliverable: GTS will prepare a draft memorandum summarizing the analysis methodology and results. The draft memorandum will be submitted for review and comments. GTS will prepare one revision to the memorandum to incorporate all comments and prepare a final VMT analysis memorandum. 12 I:\cmo\Agreements\Chambers Group, Inc. Environmental Consulting Services Agreement PY25-0087.docx-nu Task 4.2.3: Level of Service Analysis A level of service analysis will be prepared per the City's guidelines. The analysis will address the following: Existing Roadway Network. We will document the conditions of the surrounding roadway network, including speed limits, number of travel lanes, and non -motorized and transit facilities. Existing Traffic Volumes. Existing weekday AM and PM peals period traffic volumes will be collected at study intersections. For purposes of this scope of work, it is assumed that new traffic counts will be collected at up to ten (10) intersections. The counts will be collected during a typical weekday of a non -holiday week while schools are in session. Traffic Safety Analysis. The most recent three-year accident/collision records at study intersections and roadways will be obtained and summarized. Non -Motorized Facilities. We will document existing non -motorized facilities, including sidewalks, shoulders, crosswalks, on -street bicycle lanes, and multi -purpose trails. Transit Service. Existing transit service within the study area will be summarized, including transit stop locations, designated routes, service times and headways. Planned / Cumulative Improvements. We will identify planned transportation improvements as well as other development (cumulative) projects within the study area, as obtained from the City. Project Trip Generation. Daily and weekday AM and PM peak hour trip generation will be estimated based on the size of the project and information published by the Institute of Traffic Engineers (ITE) in Trip Generation. Project Trip Distribution and Assignment. We will distribute and assign AM and PM peak - hour project traffic onto the surrounding roadway network. Traffic Volumes and Operations Impact. GTS will analyze the LOS for the study area intersections surrounding the project and identify in the scoping agreement for the following scenarios: • Existing • Existing Plus Project We will evaluate the Proposed Project's compliance with the City's Measure U traffic system requirements; this will include assessing that traffic levels of service are maintained at a minimum of LOS C throughout the City, except where the current level of service is lower than LOS C, or as provided in Section 5.20 of the Redlands General Plan where a more intense LOS is specifically permitted. 13 I]\cmo\Agreements\Chambers Group, Inc. Environmental Consulting Services Agreement FY25-0087.docx-ins Non -Motorized Impact. Any potential impact on non -motorized facilities will be identified within the study area. Transit Impact. We will identify any potential impact on transit facilities and/or service. Site Access Analysis. The proposed site access location(s) will be evaluated with respect to spacing, traffic operations, and safety, turn lane requirements, and if necessary, traffic signal warrants. The study will also include an analysis of impacts associated with the drive though (queuing and circulation). Mitigation Measures. In any location where the level of service is below LOS C, mitigation measures will be proposed to assure, at a minimum, that the level of traffic service is maintained at no worse than those existing conditions, except'as provided in Section 5.20b. Deliverable: A formal TIA report that provides the methodology, summaries of baseline and plus -project conditions, and mitigation measures (if required). If impacts are identified, we will recommend specific mitigation measures to maintain acceptable traffic conditions under each of the scenarios. Two (2) revisions of the TIA are included in this scope and budget. Assumptions: Follow-on services may (or may not) be necessary as part of the development review process and as such, it is not possible to accurately budget for these services at the time of contracting. Should follow-on services be necessary, we will provide these services on a time - and -materials basis with written authorization from the City. Follow-on services could include, but are not necessarily limited to attendance at meetings, performing additional traffic/transportation and/or parking analysis, exploring alternative mitigation measures, reconciling traffic/transportation impact fee calculations, and preparing for and providing expert witness testimony at public hearings. Task 4.2.4: Traffic Public Meetings This task covers up to 2 public meetings for the Proposed Project. Task 5: Mitigated Negative Declaration As discussed with the City, it is anticipated that the Proposed Project would require the preparation of an Mitigated Negative Declaration (MND). This will be confirmed based on the results of the analysis within the IS, including the technical studies. Task 5.1: Prepare Draft MND If one or more significant impacts are identified during the IS process, CEQA allows the preparation of an MND when those impacts can be mitigated to a less than significant level. The following is a list of the required contents of an MND: • a brief description of the project; • the location of the project (preferably shown on a map); • the name of the project proponent; •- a finding that the project will not have a significant effect on the environment; 14 IAcmo\Agreements\Chambers Group, Inc. Environmental Consulting Services Agreement FY25-OOBZdoex-ms • mitigation measures included in the project to avoid potentially significant effects; and • a copy of the IS. For each CEQA environmental checklist discipline item, the existing environmental setting of the Project site and surroundings will be characterized from the existing literature base and a site visit by an environmental analyst. An envirommental impacts analysis will be prepared for each checklist entry. Based on CEQA defined significance criteria, Consultant will determine the potential for any adverse or significant adverse impacts and present mitigation measures to reduce any such impacts to a level below significance. After receipt of one set of integrated comments on the Administrative Draft MND from the City, Consultant will then revise the MND accordingly. Consultant will prepare and distribute copies of the Draft MND to the City, State Clearinghouse, and affected public agencies. For submittal to the State Clearinghouse, Consultant will draft a Notice of Intent (NOI), Notice of Completion (NOC), Summary Form, and the MND with associated appendices, if any. Consultant can submit these electronically on behalf of the City. Consultant as a submitter on the Office of Planning and Research (OPR) CEQANet Web portal. Consultant will prepare the NOI for distribution during the public review to agencies, interested parties, and property owners adjacent to the Project site. Consultant will send out no more than 25 mailings of the NOI via regular mail. To comply with the CEQA guidelines, the documents must be distributed through at least one of the following methods: Publication at least once in a newspaper of general circulation in the area affected by the Proj ect. Posting of the notice on- and off -site in the area where the Project is located. Direct mailing to the owners and occupants of property contiguous to the Project. Consultant can coordinate with the City to publish notices to public newspapers, websites, and at the Proposed Project site. Fees associated with coordinating and publishing to public newspapers, websites, or posting of a physical notice at the Project will require a change order as these tasks are not included in this scope and associated fees for newspaper postings vary. Electronic copies will be provided. Hard copies may be provided at an additional cost. Task 5.2: Prepare Final MND with Responses to Comments Final MND with Response to Comments. Based upon comments received from public review, responses to the comments will be prepared. A draft of these responses will be provided to the City. Upon receipt of one complete set of comments from the City on the responses, a Final MND will be prepared. This document combined with the Draft MND will constitute the Final MND to be used by the City when considering approval of the Project. Electronic copies will be provided. Hard copies may be provided at an additional cost. Prepare Mitigation and Monitoring Reporting Program. Following preparation of the MND, Consultant will prepare a Draft Mitigation and Monitoring Reporting Program (MMRP) as 15 L\emo\Agreements\Chambers Group, Inc. Environmental Consulting services Agreement FY25-0087.doex-ms required by CEQA for review by the City. The Final MMRP incorporating the City's comments will be incorporated into the Final MND. Notice of Determination. The Notice of Determination (NOD) is filed following the City's decision to carry out or approve the project for which the MND has been prepared. Consultant will prepare the NOD and will file the NOD with the OPR and the County Clerk. We assume the City will be in charge for the California Department of Fish and Wildlife (CDFW) filing fees for the NOD associated with an MND. Task 6: Project Management/Meetings/Public Hearings Project Management hours have been incorporated in the tasks listed previously. Project Management tasks cover communication and coordination with the City, coordination with staff for completion of studies and submittal, and Project progress and budget monitoring. Consultants' Project Manager and key technical personnel will attend two virtual progress meetings with the City. This task assumes one City Planning Commission and City Council meeting at the City, for no more than 3 hours per meeting. This task does not assume attendance at community meetings. It is assurned that internal staff meetings and progress meetings will take no more than 1 hour.
