This first amendment ("First Amendment") to the agreement for the supply of Original

City. -of. Redlands, a. municipal corporation and a general law city. ("City' ),, and Tec Equipment,
Inc: an Oregon co? ora z} {"Cansultant"), i� made and catered into this 15t day of July, 2025.
RECITALS
WHEREAS, it is the desire of the City. and Consultant to amend their existing Agreement,
specifically with the total compensation.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 5 of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:
"Compensation: The compensation for Consultant's performance of the Services shall not
exceed the amount of One Hundred Eighty Thousand Dollars ($180,000) for the Services provided
during the Initial Term, Should this Agreement be renewed, the compensation for Consultant's
performance for the Services shall not exceed the amount of One Hundred Eighty Thousand
Dollars ($180,000) for the first Extended Term; and Two Hundred Twenty Thousand Dollars
($220,000) for the second Extended Terra, bringing the total possible amount of compensation to
a not -to -exceed amount of Five Hundred Eighty Thousand Dollars ($580,000). For the Initial Term
and each Extended Terns, City shall pay Consultant on a time and materials basis up to the not to
not -to -exceed amount in accordance with the rates specified in Exhibit "B," titled "Price and Fee
Schedule," which is attached hereto and incorporated herein by reference.
Section 2, All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of July 1, 2025. 1/
