This second amendment ("Second Amendment") to the agreement for professional
software licensing and consulting services ("Agreement"), dated February 1, 2022 by and between
the City of Redlands, a municipal corporation and a general law city ("City"), and Liftoff LLC, a
Delaware limited liability company ("Consultant"), is made and entered into this 16' day of
September, 2025.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically regarding total compensation.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 5 of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:
"5.1 The total annual compensation for Consultant's performance of the Services shall be in the
amount of Sixty -Five Thousand Dollars ($65,000) during the Initial Term, with four additional
one-year Extended Terms. Compensation for the first one-year Extended Tern shall be in the
amount of Two Hundred Twenty -Five Thousand Two Hundred Eighty Seven Dollars ($225,287).
Compensation for the second one-year Extended Term shall be in the amount of Forty -Nine
Thousand One Hundred Fifty -Six Dollars ($49,156). Compensation for the third one-year
Extended Term shall be in the amount of One Hundred Thirty -Seven Thousand One Hundred
Twenty -Eight Dollars ($137,128). Compensation for the fourth Extended Term shall be in the
amount not to exceed Two HLmdred Three Thousand Four Hundred Twenty -Nine Dollars
($203,429) bringing the total compensation during the Initial Term and four (4) Extended Terms
to an amount not to exceed Six Hundred and Eighty Thousand Dollars (S680,000). City shall pay
Consultant on a time and materials basis up to the not to exceed amount in accordance with Exhibit
" C," titled " Fee Schedule," which is attached hereto and incorporated herein by reference.
Section 2. Exhibit "C" of the Agreement, entitled "Fee Schedule," is hereby amended as
shown in Attachment "1," attached to this Amendment.
Section 3. All other provisions of the Agreement shall remain unchanged by this Second
Amendment and in effect.
