This first amendment ("First Amendment") to the agreement for professional services
("Agreement"), dated October 15, 2024, by and between the City of Redlands, a municipal
corporation and a general law city ("City"), and CelPlan Technologies Incorporated, a Virginia
corporation ("Consultant"), is made and entered into this 7th day of October 2025.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically regarding total compensation.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 5 of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:
"5.1 Compensation: The compensation for Consultant's performance of the Services shall not
exceed the amount of One Million Two Hundred Seventy -Seven Thousand Twenty -Six Dollars
and Forty -Two Cents ($1,277,026.42) for the Services provided during the Initial Term. This
agreement may be extended by four (4) one-year terms (Extended Terms). Should this Agreement
be extended, the compensation for Consultant's performance for the Services shall not exceed the
amount of Two Hundred Thirty -One Thousand Seven Hundred Fifty -One Dollars and Thirty One
Cents ($231,751.31) for the first Extended Term; Two Hundred Forty -One Thousand Twenty -One
Dollars and Thirty Six Cents ($241,021.36) for the second Extended Term; Two Hundred Forty -
Seven Thousand Forty -Six Dollars and Ninety Cents ($247,046.90) for the third Extended Term;
and Two Hundred Fifty -Three Thousand Two Hundred Twenty -Three Dollars and Seven Cents
($253,223.07) for the fourth Extended Term, bringing the total possible amount of compensation
to a not -to -exceed amount of Two Million Two Hundred Fifty Thousand Sixty Nine Dollars and
Six Cents ($2,250,069.06). For the Initial Term and each Extended Term, City shall pay Consultant
on a time and materials basis tip to the not to not -to -exceed amount in accordance with the rates
specified in Exhibit "C," titled "Schedule of Values," which is attached hereto and incorporated
herein by this reference."
Section 2. Exhibit "C" of the Agreement, entitled "Schedule of Values," is hereby amended
to include Attachment "1", attached to this amendment.
Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.

IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of October 7th, 2025.
