FIRST AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES
This First amendment ("First Amendment") to the agreement for Master Construction
Management Services ("Agreement"), dated December 17, 2024, by and between the City of
Redlands, a municipal corporation and a general law city ("City"), and Tilden -Coil Constructors, Inc.,
a California Corporation ("Consultant"), is made and entered into this 17th day of March, 2026.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically to include additional preconstruction costs and amended Constriction Management fees
associated with the development of facility located at 300 E. State Street, Redlands, CA 92373.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 5 of the Agreement, entitled "Payments to Consultant," Section 5.1 is
hereby amended to read as follows:
"5.1 Compensation: Total compensation for Consultant's performance of the Services shall be in
an amount not to exceed Two Million One Hundred Eight Thousand Five Hundred Ten
Dollars ($2,108,510) without written authorization by the City. City shall pay Consultant in
accordance with Exhibit `B," titled "Fee Schedule and Hourly Rates," which is attached
hereto and incorporated herein by this reference. The compensation due the Consultant for
Basic Services for each Assigned Project shall be as set forth in the Task Order for each
Assigned Project. Payment of the Task Order Contract Price for an Assigned Project will be
made by the City in accordance with the terms hereof. The Contract Price includes the fee of
the Consultant, and personnel expenses of the Consultant and sub -consultants, inclusive of all
benefits and burdens, travel for personnel of the Consultant and sub -consultants to and from
the Site, travel within the Counties of Los Angeles, Orange, Riverside and San Bernardino,
insurance and other overhead costs associated with or arising out of performance and
completion of Basic Services for an Assigned Project. The Contract Price due the Consultant
for an Assigned Project shall be established by mutual agreement of the Consultant and the
City, and shall be determined using the following:
Consultant Fee. Consultant Fee shall be calculated based on the anticipated sum of prime
contracts for the Assigned Project at the rates identified in Exhibit `B."
Preconstruction Labor. A not to exceed budget based upon Consultant's rates listed in
Exhibit "B."
General Conditions. A not to exceed budget base upon Consultant's rates listed in Exhibit
"B" and agreed upon reimbursable expenses to support the Assigned Project."
Section 2. The "Fee Schedule and Hourly Rates" set forth in Exhibit `B" of the
Agreement is hereby replaced in its entirety with Exhibit `B," which is included hereto as Attachment
1 and incorporated herein by this reference.

Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective as
of March 17, 2026.

EXHIBIT `B"
FEE SCHEDULE & HOURLY RATES
Preconstruction Phase Services: Services shall be billed on a time and materials basis
based upon the hourly rates below. All materials shall be reimbursed at a cost plus a
10% markup. The preconstruction phase services budget shall not exceed $187,000
without prior written authorization by the City.
2. Construction Phase Services: Compensation for construction phase services includes
Construction Manager's Fee (CM Fee) and General Conditions as described below:
i. CM Fee: CM Fee shall be 5% of the sum of prime contracts (construction
costs). The CM Fee shall be adjusted based upon the final construction
costs.
ii. General Conditions: General conditions/requirements are project site
support expenses that are incurred by the construction manager (or by the
general contractor in the case of a design -bid -bid delivery method) and are
required for the project. These expenses are not associated with a
particular subcontractor trade, but are required for the entire site as a
whole such as fencing, trash, toilets, etc. General Conditions are billed at
the established hourly rates and costs and are reimbursed without
markup. The estimated General Conditions based upon our understanding
of the construction schedule outlined above is $81,336 per month, or
$1,220,040 for 15 months.
iii. This preliminary general conditions estimate as set forth below:
