This first amendment ("First Amendment") to the agreement for the provision of Council
Chambers Audio Video System ("Agreement"), dated December 16, 2025, by and between the
City of Redlands, a municipal corporation and a general law city ("City"), and Western AN, a
California corporation ("Consultant"), is made and entered into this 71h day of April, 2026.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
as set forth in this First Amendment,
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Section 5.1 of the Agreement, entitled "Compensation," is hereby amended
to read as follows:
"Compensation: Total compensation for Consultant's performance of the Services shall be
in the amount not to exceed Five Hundred Eighty -One Thousand Eight Hundred Thirty -Eight
Dollars and Thirty -Seven Cents ($581,838.37). City shall pay Consultant in accordance with
Exhibit "C," titled "Fee Schedule," which is attached hereto and incorporated herein by this
reference. "
Section 2. Exhibit "C" of the Agreement is removed and replaced with Exhibit "C,"
entitled "Fee Schedule," which is attached hereto and incorporated herein by this reference as
Attachment 1.
Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of April 7, 2026.
