HomeMy WebLinkAboutContracts & Agreements_45-2026FIRST AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES This First amendment ("First Amendment") to the agreement for Laboratory Services ("Agreement"), dated 211 day of July, 2024, by and between the City of Redlands, a .municipal corporation and a general law city ("City"), and Eurofins Eaton Analytical, LLC, a Delaware limited liability company, now Eurofins Drinking Water and Wastewater, LLC ("Consultant"), is made and entered into this 7' day of April, 2026. RECITALS WHEREAS, Consultant amended its name from Eurofins Eaton Analytical, LLC to ` Eurofms Drinking Water and Wastewater, LLC," effective 2nd day of February, 2026. WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement, specifically to increase the not -to -exceed compensation by Eighty Thousand Dollars ($80,000) for FY 2025/26 for increased frequency of testing. NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Consultant agree as follows: AGREEMENT The Agreement is hereby amended to change the name of Consultant from Eurofins Eaton Analytical, LLC to "Eurofins Drinking Water and Wastewater West, LLC" and said name shall be changed accordingly wherever it appears in the Agreement. Section 1. Article 5 of the Agreement, entitled "Payments to Consultant," is hereby amended to read as follows: 5.1 The compensation for Consultant's performance of the Services shall not exceed the amount of One Hundred Twenty Thousand Dollars ($120,000) for the Services provided during the Initial Term. Should this Agreement be extended, the compensation for Consultant's performance for the services shall not exceed the amount of Two Hundred Thousand Dollars ($200,000) for the first Extended Term; and One Hundred Twenty Thousand Dollars ($120,000) for the Second Extended Term, bringing the total possible amount of compensation to a not -to -exceed amount of Four Hundred Forty Thousand Dollars ($440,000). For the Initial Term and Extended Term, City shall pay Consultant on a time and materials basis up to the not to not -to -exceed amount in accordance with the rates specified in Exhibit `13," titled "Price and Fee Bid," which is attached hereto and incorporated herein by this reference. 5.2. Consultant shall submit monthly invoices to City describing the Services performed during the preceding month. Consultant's invoices shall include a brief description of the Services performed, the dates the Services were performed, the number of hours spent and by whom, and a description of reimbursable expenses related to the Services. Any notice or other communication required, or which may be given, pursuant to this Agreement, shall be in writing. Any such notice shall be deemed delivered (i) on the date of delivery in person; (ii) five (5) days after deposit in first class registered mail, with return receipt requested; (iii) on the actual delivery date if deposited with an overnight courier; or (iv) on the date sent by facsimile or electronic mail transmission (including PDF), if confirmed with a copy sent contemporaneously by first class, certified, registered or express mail; in each case properly posted and fully prepaid to the appropriate address set forth below, or such other address as a Party may provide notice in accordance with this section: CITY: City Clerk City of Redlands 35 Cajon Street P.O. I';rwwA•ti+ This contract does not constitute an obligation for the City to purchase the quantities indicated herein. The quantities are estimates and are based on the most accurate information available. The purpose of this contract is to establish prices for the commodities or services required, in the event that the City needs to purchase such commodities or services. The needs of the City shall govern the amount to be purchased, and the City reserves the right to purchase quantities in excess of the estimates, in shortfall of the estimates, or not to purchase any quantities at all.
