This first amendment ("First Amendment") to the agreement for Engineering Services
related to the On -Call General Engineering Services dated September 3, 2024, ("Agreement"), by
and between the City of Redlands, a municipal corporation ("City"), and Hicks & Hartwick, Inc.
("Consultant"), is trade and entered into this 7th day of April, 2026.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend the existing Agreement,
as specifically set forth in this First Amendment.
NOW, THEREFORE, City and Consultant agree as follows:
AGREEMENT
Section 1. Section 3.1 of Article 3 of the Agreement, entitled "Responsibilities of
City," is hereby amended to read as follows:
"3.1 City designates Monica Heredia, Municipal Utilities and Engineering Department Director,
as City's representative with respect to performance of the Services, and such person shall have
the authority to transmit instructions, receive information, interpret and define City's policies and
decisions with respect to performance of the Services."
Section 2. Section 5.1 of Article 5 of the Agreement, entitled "Payments to
Consultant," is hereby amended to read as follows:
"51 The compensation for Consultant's performance of the Services shall not exceed the
amount of One Hundred Thousand ($100,000) for the Services provided during the Initial Term.
Should this Agreement be extended, the compensation for Consultant's performance of the
Services shall not exceed the amount of One Hundred Ninety -Seven Thousand ($197,000) for the
Extended Term, bringing the total possible amount of compensation to a not -to -exceed amount of
Two Hundred Ninety -Seven Thousand ($297,000). For the Initial Term and the Extended Term,
City shall pay Consultant on a time and materials basis up to the not -to -exceed amount in
accordance with the rates specified in Exhibit "B," titled "Hourly Rate Schedule," which is
attached hereto and incorporated herein by this reference."
Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.

IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of April 7, 2026.
