Home My WebLink AboutContracts & Agreements_72-2026AGREEMENT BETWEEN CITY OF HIGHLAND AND CITY OF REDLANDS FOR DESIGN PHASE FOR THE HIGHLAND/REDLANDS REGIONAL GAP CONNECTOR PROJECT FOR ORANGE STREET FROM 0.25 MILES NORTH OF PIONEER AVENUE TO GREENSPOT ROAD IN THE CITIES OF HIGHLAND AND REDLANDS This agreement is made and entered into this 19' day of May, 2026 ("Effective Date"), by and between the City of $ighland (hereinafter referred to as HIGHLAND) and the City of Redlands (hereinafter referred to as REDLANDS), sometime individually referred to as a PARTY and, collectively referred to as the PARTIES. RECITALS WHEREAS HIGHLAND and REDLANDS are working cooperatively to deliver a regional bikeway/walkway project entitled HIGHLAND/REDLANDS REGIONAL GAP CONNECTOR PROJECT (hereinafter referred to as the PROJECT); and WHEREAS HIGHLAND is the Implementing agency and REDLANDS is the Partnering Agency; and WHEREAS the PROJECT lies within the jurisdictions of HIGHLAND and REDLANDS; and WHEREAS W.H. Lochner, Inc. is contracted to provide additional plans, specifications, and estimate (collectively referred to as DESIGN) services of the PROJECT at a total cost of $309,731; and WHEREAS the PARTIES wish to enter into a Cooperative Agreement to cooperate in the implementation of the PROJECT, delineate responsibilities and funding commitments relative to DESIGN services of the PROJECT; and WHEREAS the PARTIES acknowledge that each PARTY is responsible for the full costs of the portion of the DESIGN located within its respective jurisdictional boundaries; and WHEREAS the PARTIES recognize that PROJECT costs are subject to change and it is the intent of the PARTIES that each PARTY pay their share of final PROJECT costs, net of grant funding; and NOW THEREFORE, in consideration of the mutual promises contained herein, the PARTIES agree to the following: Page 1 of 6 IAcmo\Agreements\Attaehment B - Highland Cooperative Agreement.bm.05.05.2026.FY2526-169.doex SECTION I HIGHLAND agrees to: 1. Act as Implementing Agency in the execution of DESIGN services within HIGHLAND and REDLANDS. As such, HIGHLAND shall be the sole PARTY that contracts with consultants for DESIGN services. 2. Be responsible for the full DESIGN costs of the PROJECT located within HIGHLAND, totaling $251,881. 3. Pay its share of the DESIGN costs if funding is reduced, relinquished, deobligated, or otherwise no longer available. 4. Invoice REDLANDS for its share of DESIGN costs no more frequently than once per month. Consultant invoices shall be included with invoices to REDLANDS as the basis for substantiating the invoice amount for eligible DESIGN expenditures. 5. Establish and maintain an accounting conforming to Generally Accepted Accounting Principles to support accounting activities associated with the delivery of the DESIGN and produce monthly reports which clearly identify invoice payments for DESIGN services, including information of the funding sources. 6. Maintain all source documents, books, and records connected with I-HGHLAND's performance under this agreement for a minimum of five years from the date the Notice of Completion of the PROJECT is recorded, or until audit resolution is achieved, whichever is later, and to make all such supporting information available for inspection and audit by representatives of REDLANDS. Copies will be made and furnished by HIGHLAND upon request. 7. Abide by all SBCTA, State, and Federal policies, procedures, and regulations applicable to the PROJECT. SECTION II REDLANDS agrees to: 1. Be responsible for the full DESIGN costs of the PROJECT located within REDLANDS, Totaling $57,850. 2. Pay its share of DESIGN costs if funding is reduced, relinquished, deobligated, or otherwise no longer available. 3. Pay HIGHLAND for expenditures incurred on that portion of the PROJECT located within REDLANDS within thirty days following receipt of an invoice from HIGHLAND. 4. Establish and maintain an accounting conforming to Generally Accepted Accounting Principles to support accounting activities associated with the delivery of the DESIGN and produce monthly reports which clearly identify invoice payments for DESIGN services, including information of the funding sources. Maintain all source documents, books, and records connected with REDLANDS's performance under this agreement for a minimum of five years from the date the Notice of Completion of the PROJECT is recorded, or until audit resolution is achieved, whichever is later, and to make all such supporting information available for inspection and audit by representatives of HIGHLAND. Copies will be made and furnished by REDLANDS upon request. 6. Abide by all SBCTA, State, and Federal policies, procedures, and regulations applicable to the PROJECT. SECTION III IT IS MUTUALLY AGREED: 1. That eligible PROJECT expenditures shall be limited to DESIGN -specific work and shall not include escalation, interest, or other fees. 2. Each PARTY shall defend, indemnify, and hold harmless the other PARTY from and against any claim of liability, damages, cost or loss, including costs and attorney's fees, from personal injury or death to persons, or property damage (collectively "Claims") resulting from or arising from negligence or willful misconduct of either PARTY, it's elected officials, employees, consultants, or agents, except to the extent such Claims may be caused by or result from negligence or willful misconduct of either PARTY, it's elected officials, employees, contractors, or agents. 3. This Agreement shall commence on its Effective Date and shall terminate upon HIGHLAND's provision of a written notice of completion of DESIGN, unless any accounting remains unsettled between the PARTIES. Upon settlement of any such accounting issues, REDLANDS and HIGHLAND shall each issue a written notice of completion of DESIGN and this Agreement shall be deemed terminated as of such date. This Agreement may be extended or terminated by mutual written consent of the PARTIES.
