This second amendment ("Second Amendment") to the agreement for the provision of
temporary staffing services ("Agreement"), dated June 15, 2021, by and between the City of
Redlands, a municipal corporation ("City"), and waterTALENT, LLC a limited liability company
("Consultant"), is made and entered into this 161h day of June, 2026.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement
to increase the total compensation of the services;
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Section 5.1 of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:
"The total compensation for Consultant's performance of the Services shall not exceed the
amount of three hundred thousand dollars ($300,000) for the period of three years of the
Initial Term, and shall not exceed the amount of one hundred thousand dollars ($100,000)
for the first additional one-year renewal option, and shall not exceed the amount of three
hundred seventy-five thousand dollars ($375,000) for the second additional one-year
renewal option, bringing the total compensation payable to an amount not to exceed seven
hundred seventy-five thousand dollars ($775,000). City shall pay Consultant on a time and
materials basis up to the not to exceed amount in accordance with Exhibit "B" titled
"Fee/Cost Proposal," which is attached hereto and incorporated herein by reference."
Section 2. All other provisions of the Agreement shall remain unchanged by this Second
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this Second Amendment, to be
effective as of June 16, 2026.
