This first amendment ("First Amendment") to the agreement for the provision of Onsite
Fabrication Services ("Agreement"), dated June 4, 2024, by and between the City of Redlands, a
municipal corporation and a general law city ("City"), and Redlands Iron Works, Inc.,
("Consultant"), is made and entered into this 16th day of June, 2026.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically with the total compensation.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 5 of the Agreement, entitled "Payments to Contractor," Section 5.1
is hereby amended to read as follows:
5.1 "Compensation: The compensation for Contractor's performance of the Services
shall not exceed the amount of Seventy -Five Thousand Dollars ($75,000) for the Services provided
during the Initial Term. Should this Agreement be renewed, the compensation for Contractor's
performance for the Services shall not exceed the amount of Seventy -Five Thousand Dollars
($75,000) for the first Extended Term; and One Hundred Thousand Dollars ($100,000) for the
second Extended Term, bringing the total possible amount of compensation to a not -to -exceed
amount of Two Hundred and Fifty Thousand Dollars ($250,000). For the Initial Term and each
Extended Term, City shall pay Contractor on a time and materials basis up to the not to not -to -
exceed amount in accordance with the rates specified in Exhibit `B," titled "Fee Schedule," which
is attached hereto and incorporated herein by reference."
Section 2. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
