ENTERPRISE RISK CONSULTING SERVICES
This first amendment ("First Amendment') to the agreement for the provision of enterprise risk
consulting services ("Agreement'), dated July 14, 2025, by and between the City of Redlands, a
municipal corporation and a general law city ("City"), and Public Risk Innovation, Solutions, and
Management (PRISM), ("Consultant'), is made and entered into this 2nd day of October, 2025.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement, to
extend the term of the Agreement; and
WHEREAS, City and Consultant agree to amend the Agreement to extend its term.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Section 6.1 ("Term") of the Agreement, is hereby amended to read as follows:
"6.1 Term: The term of this AGREEMENT shall commence on the Effective Date
listed in Exhibit A and will remain in frill force and effect until February 28, 2026, or
unless terminated earlier as provided in the Agreement."
Section 2. The "Scope of Services and Fees" set forth in Exhibit A of the Agreement is hereby
amended as set forth in Attachment "1," which is attached hereto and incorporated herein by this
reference.
Section 3. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
Section 4. This Amendment may be executed in counterparts, each of which shall be deemed
an original, but all of which together shall constitute one and the same instrument.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective as
of October 2, 2025.

SCOPE OF SERVICES AND FEES

This AGREEMENT is effective on 07/14/2025

Termination is subject to the provisions of paragraph 6 of the Member Agreement.
Fee Schedule: PRISM shall pay the Consultant at the rate of $ 550 00 per hour for services performed
under this AGREEMENT and payment shall not exceed $49.000 without prior written approval
from the Member. Paymentwill be made monthly.
Services Provided: This is a service that will provide participating Members with the ability to
contract for Consultant services through the PRISM's "Enterprise Risk Consultant" Program.
The Consultant will provide the specific services contracted for by Member, which may include
any of the following:

A Specific Scope of Work is Attached to this Exhibit.
Supplemental Engagement(s): Should Member elect to retain the Consultant
separately for services that are supplemental to those provided under the
AGREEMENT, Member and the Consultant shall establish a separate engagement with
scope of work and deliverables to be determined at the time of said engagement. Fees
and/or costs for any supplemental services shall be determined at the time of
engagement. These services will not be subject to oversight or administration by PRISM
under the Enterprise Risk Consultant Program.
Administration: This Program for Members shall be administered directly by PRISM in
accordance with the terms of PRISM's Agreement with Consultant.
