EVENT PAVILION AT THE MUSEUM OF REDLANDS
This Funding Agreement for the staffing of the Museum Store and Event Pavilion at the
Museum of Redlands ("Agreement") is made this 21' day of July, 2026 ("Effective Date"), by and
between the City of Redlands, a municipal corporation ("City") and Redlands Historical Museum
Association, a California nonprofit public benefit corporation ("RHMA"). RHMA and City are
sometimes individually referred to herein as a "Party" and, together, as the "Parties." In consideration of
the mutual promises contained herein, RHMA and City agree as follows:
Section 1. Part -Time Personnel. The purpose of this Agreement is to provide funding to City
for additional part-time personnel to enhance the operation of the Museum Store and Event Pavilion at
the Museum of Redlands ("MOR"). RHMA agrees to provide 100% funding for the employment by the
City of two (2) part-time administrative assistants for twenty (20) hours per week each, for a total of
forty (40) hours per week. The part-time administrative assistants shall perform the tasks as determined
by the City, but would generally include administrative and clerical duties to be performed solely for the
Museum Store and Event Pavilion. The administrative assistants shall be city employees and serve at
the pleasure of the City. The administrative assistants shall work under the supervision and direction of
the Library Director who shall set their work schedule. It is agreed by the Parties that the funding of the
administrative assistants is not intended to replace current levels of City services at MOR.
Section 2. Term. The term of this Agreement shall be for a period of two (2) years (the "Initial
Term"), commencing on the Effective Date of this Agreement as set forth above. The City shall have
the option to extend the Initial Term of this Agreement by three (3) additional one-year terms (each, an
"Extended Term"), on the same terms and conditions subject to any increases in the City's labor cost of
each part-time position covered in the Agreement, by providing written notice to RHMA at least thirty
(30) days prior to the expiration of the Initial Term or any Extended Term.
Section 3. Funding. The total funding for two (2) part-time administrative assistants under
this Agreement shall not exceed Fifty -Two Thousand Four Hundred Ninety -Seven Dollars ($52,497.00)
for the first year of the Initial Tenn. The funding amount for the second year of the Initial Term, and for
any Extended Term, shall be subject to adjustment based on the City's actual labor costs for the part-
time administrative assistant positions covered by this Agreement. RHMA understands and agrees that
during the term of the Agreement, City may require RHMA to make additional payments or increase the
required funding in this Agreement should the City's labor cost of each part-time administrative
assistants increase due to unforeseen circumstances, including but not limited to: changes in law,
inflation, changes to mandatory minimum wage and overtime policies, need to increase the part-time
hourly rates for hiring and retention.
Section 4. Pam RHMA will make equal quarterly payments in the amount of Thirteen
Thousand One Hundred Twenty -Four Dollars and Twenty -Five Cents ($13,124.25) for the first year of
the Initial Term. The quarterly payment amount for the second year of the Initial Term, and for any
Extended Term, shall be subject to adjustment based on the animal funding amount established pursuant
to Section 2. RHMA shall make each quarterly payment to City within ten (10) days of receipt of
receiving invoice. Invoice documentation shall include a description of Museum Store and Event
Pavilion Work completed, labor hours worked including required direct payroll related costs (workers

comp insurance, payroll taxes, etc.).
Section 5. Quarterly Meeting. RHMA and City representatives may meet to discuss progress
underthis Agreement on a quarterly basis (dates ofwhich to be agreed uponby the Parties), or at the written
request of either Party, to discuss any concerns related to the work to be performed under this Agreement.
Section 6. Notices. Any notice or other communication required, or which may be given,
pursuant to this Agreement, shall be in writing. Any such notice shall be deemed delivered on the date
of delivery in person; (ii) five (5) days after deposit in first class registered mail, with return receipt
requested; (iii) on the actual delivery date if deposited with an overnight courier; or (iv) on the date sent
electronic mail transmission (including PDF), if confirmed with a copy sent contemporaneously by first
class, certified, registered or express mail; in each case properly posted and fully prepaid to the
appropriate address set forth below, or such other address as a Party may provide notice in accordance
with this section:

Section 7. Termination. Either Party may terminate this Agreement with or without cause
upon sixty (60) days prior written notice to the other Party. Prior to issuing a notice to terminate this
Agreement for cause, the Parties agree to meet and confer regarding the reason(s) for termination by a
Party and provide the other Party a period of thirty (30) days to cure and correct any deficiencies. Should
this Agreement terminate, RHMA will pay in full any open invoices for completed work through the effective
date of termination of this Agreement.
Section 8. Governing Law. This Agreement shall be governed by, and construed in
accordance with, the laws of the State of California.
Section 9. Attorneys' Fees. In the event any action is commenced to enforce or interpret any
of the terms or conditions of this Agreement the prevailing party shall, in addition to costs and any other
relief, be entitled to recovery of its reasonable attorneys' fees, including fees for use of in-house counsel
by a Party.
Section 10. Entire Agreement; Modification. This Agreement contains the entire agreement of
the Parties with respect to the subject matter of this Agreement and supersedes all existing oral or written
agreements between the Parties relating to the same. This Agreement may be amended or modified only
by written instrument, executed by authorized representatives of the Parties.

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the
Effective Date as first set forth above.
