ENVIRONMENTAL CONSULTING SERVICES FOR A PRIVATE PROJECT
This first amendment ("First Amendment") to the agreement for the provision of
professional environmental consulting services ("Agreement"), dated September 25, 2025, by and
between the City of Redlands, a municipal corporation and a general law city ("City"), and
Environment Planning Development Solutions, Inc., a California Corporation ("Consultant"), is
made and entered into this 241h day of June, 2026.
RECITALS
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement,
specifically to the Servies of Consultant, Responsibility of City and Performance of Services;
WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement
as set forth in this First Amendment.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 5 ("Payments to Consultant") Subsection 5.1 of the Agreement is
hereby amended as follows:
"5.1 The total compensation for Consultant's performance of the Services shall not
exceed the amount of One Hundred Sixty -Four Thousand One Hundred and Ten Dollars
($164,110). City shall pay Consultant on a time and materials basis, up to the not -to -exceed
amount, in accordance with Exhibit "B," titled "Project Costs and Hourly Rates," which is attached
hereto and incorporated herein by this reference."
Section 2. Article 5 ("Payments to Consultant") Subsection 5.3 of the Agreement, is
hereby amended as follows:
"5.3 Any notice or other communication required, or which may be given, pursuant to
this Agreement, shall be in writing. Any such notice shall be deemed delivered (i) on the date of
delivery in person; (ii) five (5) days after deposit in first class certified, regfistred or express mail,
with return receipt requested; (iii) on the actual delivery date if deposited with an overnight courier;
or (iv) on the date sent by facsimile or electronic mail transmission (including PDF), if confirmed
with a copy sent contemporaneously by first class, certified, registered or express mail; in each
case properly posted and fully prepaid to the appropriate address set forth below, or such other
address as a Party may provide notice in accordance with this section:

Section 3. Exhibit `B," of the Agreement is replaced with a new Exhibit `B," titled
"Project Costs and Hourly Rates," which is attached hereto as Attachment I and incorporated
herein by this reference.
Section 4. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of June 24, 2026.
