HomeMy WebLinkAboutContracts & Agreements_96-2026FIRST AMENDMENT TO AGREEMENT FOR THE PROVISION OF PROFESSIONAL ENVIRONMENTAL CONSULTING SERVICES FOR A PRIVATE PROJECT This first amendment ("First Amendment") to the agreement for the provision of professional environmental consulting services ("Agreement"), dated February 1, 2025, by and between the City of Redlands, a municipal corporation and a general law city ("City"), and LSA Associates, Inc., a California Corporation ("Consultant"), is made and entered into this 8" day of June, 2026. RECITALS WHEREAS, it is the desire of the City and Consultant to amend their existing Agreement, specifically to the Services of Consultant, Responsibility of City and Performance of Services; NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby acknowledged City and Consultant agree as follows: AGREEMENT Section 1. Article 3 of the Agreement, titled "Responsibilities of City," Subsection 3.2 is hereby amended as follows: "3.2 City designates Sean Reilly, Development Service Department Director, and his designees, as City's representatives with respect to performance of the Services, and such person shall have the authority to transmit instructions, receive information, interpret and define City's policies and decisions with respect to performance of the Services." Section 2. Article 4 of the Agreement, titled "Performance of Services," Subsection 4.1 is hereby amended as follows: "4.1 Consultant shall perform and complete the Services in accordance with the Project Schedule. The Services shall commence on the Effective Date of the Agreement and be completed on or before October 31, 2026." Section 3. Article 5 of the Agreement, titled "Payments to Consultant," Subsection 5.3 is hereby amended as follows: "5.3 Any notice or other communication required, or which may be given, pursuant to this Agreement, shall be in writing. The meeting will be held, via teleconference, with City of Redlands (City) staff and Southern California Edison (SCE) representatives to: • Establish a mutual understanding of the California Environmental Quality Act (CEQA) program objectives and key issues, explore community and City staff concerns regarding the project, and discuss the City's expectations for the consultant's work effort. • Comprehensively identify the nature and scope of required land use actions. • Identify City contacts, neighborhood associations, or service organizations whose input will be vital to the successful completion of the CEQA program. • Refine the scope of work to be performed, including related technical reports. • Define protocols for requesting information of City staff and SCE. • Refine the project schedule, establish protocols for product review and coordination with the City and SCE, and define project milestones and decision points. • Obtain relevant plans, reports, ordinances, and studies applicable to the project Prior to the kickoff meeting, Consultant will identify its document and information needs to assist the City in accumulating the background information necessary to initiate the program. Output: Identify project objectives, confirm the scope of work and schedule, establish a mutual understanding of the process and protocols that will be followed, and identify key stakeholders in the program. Task 1.2: Project Description C will collaborate with the City and SCE to define the project description and review the scope of work. Consultant will draft a comprehensive project description as a digital draft for review by the City within 3 days of authorization to proceed and receipt of the most recent project information. As required by CEQA, the project description will provide a detailed narrative of the project, operational characteristics, and geographical setting. Additionally, Consultant will visit the project site to establish an understanding of existing site conditions, the physical setting of the site, and the relationship between the project site and adjacent land uses. Output: Project description for inclusion in the technical reports and Initial Study. Consultant will revise the draft project description and submit a final digital draftto the City and SCE. TASK 2.0: TECHNICAL REPORTS AND PEER REVIEW Task 2.1: Air Quality, Energy, and Greenhouse Gas Technical Report Peer Review The proposed project would generate construction and operational emissions in the project vicinity. This increase could contribute to existing air pollution and has the potential to exceed regional air emission thresholds established by the South Coast Air Quality Management District (SCAQMD). Construction activities associated with development could increase concentrations of particulate matter. Construction and operation of the proposed project would also generate greenhouse gas (GHG) emissions. Typically, an individual project does not generate sufficient GHG emissions to influence global climate change significantly on its own; therefore, the issue of global climate change is cumulative in nature. As such, the proposed project would generate GHG emissions that could cumulatively contribute to global climate change. Consultant will conduct a peer review of the Applicant -prepared Air Quality and Greenhouse Gas Technical Report, which will concentrate on the methodologies and conclusions contained in the report for legal and scientific adequacy and accuracy. Consultant will ensure that the analyses are consistent with the SCAQMD CEQA Air Quality Handbook guidelines for air quality and GHG emission analyses. Consultant will review the air quality model input and output data for accuracy and compare the output data with those identified in the report. Consultant will also conduct a peer review of the cumulative impact analysis methodologies and conclusions and confirm that the report addresses the CEQA checklist questions related to energy. Consultant will provide the City with peer review comments and suggested revisions for incorporation into the Air Quality and GHG Technical Report. Once Consultant has received an acceptable Air Quality and GHG Technical Report, Consultant will incorporate the findings of the report into the IS/MND, Output: Consultant will prepare a peer review Memorandum that considers the air quality analysis' adequacy pursuant to CEQA and summarizes any necessary comments or recommendations. Consultant will submit on electronic version (PDF) of the Memorandum to City staff within 2 weeks of receiving the authorization to proceed and the report to review. Consultant will then, if necessary, provide one additional follow-up review of the revised Air Quality Energy, and Greenhouse Gas Technical Report and then prepare a final Memorandum. Task 2.2: Cultural Resources Assessment Peer Review Consultant will conduct a peer review of the Applicant -prepared Cultural Resources Assessment in order to ensure that the assessment has been prepared in accordance with CEQA and conforms to accepted Cultural Resources Management (CRM) methodologies and procedures (i.e., industry standards). In order to ensure that the study is adequate, Consultant will review the methods, approach, and assumptions of the report to ensure that the technical analysis is adequate per CEQA (including providing sufficient data/information to complete the CEQA checklist) and conforms to current industry standards; and 4 LkinolAgreements\ I st Amendment Agreement w LS A.bm.06.08.2026.FY2526-184.docx will provide comments on the technical report, including any recommended revisions, additions, exclusions, etc. Once Consultant has received an acceptable Cultural Resources Assessment, Consultant will incorporate the findings of the report into the IS/MND. This scope of work assumes that the Cultural Resources Assessment has no 'fatal flaws' requiring extensive comment/major revisions and one follow-up review of author response to comments will suffice. Output: Consultant will prepare a peer review Memorandum that considers the Cultural Resources Assessments' adequacy pursuant to CEQA and summarizes any necessary comments or recommendations. Consultant will submit on electronic version (PDF) of the Memorandum to City staff within 2 weeks of receiving the authorization to proceed and the report to review, Consultant will then, if necessary, provide one additional follow-up review of the revised Cultural Resources Assessment and then prepare a final Memorandum. Task 2.3: Noise and Vibration Impact Analysis Peer Review Consultant has conducted similar technical studies and peer reviewed numerous technical reports throughout California for projects of comparable scale. The following summarizes the tasks that Consultant will undertake for this scope of work. Consultant will determine whether the preparation of the Noise and Vibration Impact Analysis and the conclusions contained therein were done in accordance with the City's adopted Noise Element, Noise Ordinance, other applicable noise and vibration standards, and best professional practices. Additionally, impact determinations, as required by CEQA, and mitigation measures, where necessary, will be reviewed. Output: Consultant will prepare a peer review Memorandum that considers the noise and vibration analysis' adequacy pursuant to CEQA and summarizes any necessary comments or recommendations. Consultant will submit on electronic version (PDF) of the Memorandum to City staff within 2 weeks of receiving the authorization to proceed and the report to review. Consultant will then, if necessary, provide one additional follow-up review of the revised Noise and Vibration Impact Analysis and then prepare a final Memorandum. Task 2.4: Traffic Impact Analysis (TIA) Consultant will prepare a Traffic Impact Analysis (TIA) for the proposed project. The TIA for the proposed project will be prepared to meet California Environmental Quality Act (CEQA) requirements for disclosure of project impacts and the requirements of the City. On December 28, 2018, the California Office of Administrative Law cleared the revised California Environmental Quality Act (CEQA) guidelines for use. Among the changes to the guidelines was removal of vehicle delay and level of service from consideration under CEQA. With the adopted guidelines, transportation impacts are to be evaluated based on a project's effect on vehicle miles traveled (VMT). Since July 1, 2020, lead agencies have been required to use the revised transportation guidelines. Therefore, the TIA will include a VMT analysis to satisfy CEQA requirements and a level of service analysis as required by the City's transportation staff. 5 1:lcmolAgreementsl1st Amendment Agreement w LSA.bm,06,08.2026.FY2526-18 4,doex Consultant will prepare the TIA report for the proposed project based on discussion with City staff and consistent with the City's requirements for the preparation of a TIA. Since the City does not have its own TIA guidelines for the Level of Service (LOS) analysis, the LOS analysis for the proposed project will be prepared consistent with the San Bernardino County Transportation Impact Study Guidelines, dated July 2019. The VMT analysis will be prepared consistent with the City's requirements outlined in the City of Redlands CEQA Assessment VMT Analysis Guidelines. The primary objective of the analysis will be to study and determine potential for project - related traffic operational issues to the circulation system within the project vicinity as a result of the project. Based on comments provided by City staff and requirements under Measure U, the LOS analysis will address existing traffic conditions, future project traffic forecasts, project -related operational deficiencies and improvements, and will be prepared forsubmittal to the City. Specifically, the following two scenarios will be analyzed: • Existing Conditions; and • Existing with Project Conditions. Traffic conditions will be examined for the weekday a.m. and p.m. peak hour conditions for study intersections. The a.m. peak hour is defined as the one hour of highest traffic volumes occurring between 7:00 and 9:00 a.m. The p.m. peak hour is the one hour of highest traffic volumes occurring between 4:00 and 6:00 p.m. The following tasks will be prepared as part of this scope of work: Scoping Agreement and Coordination Prior to preparation of the TIA, Consultant will prepare a Scoping agreement for submittal to the City's Traffic Engineer, The methodology for preparation of the TIA will be developed in consultation with City staff. Consultant will consult with staff of the City's Transportation Department to determine the study area and analysis methodologies. Consultant will also confirm the traffic analysis assumptions and identify any other potential traffic issues that will need to be addressed in the study. Consultant will also confirm the methodology and scope for preparation of the project's VMT analysis. For purposes of this analysis, up to 7 intersections and 5 project driveways will be included in the TIA. If, through the course of further coordination with City staff, preparing the analysis, and City staff review, additional analysis not anticipated in this scope of work is requested by City staff, such requests would constitute additional, out -of -scope services and may affect the budget and schedule identified in this proposal. Data Collection and Site Visit The following data will be required to prepare the traffic analysis for the proposed project: • Site Visit. Consultant staff will visit the project site and gather information on lane geometrics, signal timing, signal phasing, roadway widths, etc. 6 IAcmo\Agreemems\1st Amendment Agreement w LSA.bm.06.08.2026.FY2526-184.docx Existing Intersection Traffic Counts. Consultant will collect existing intersection turn volumes for the a.m. and p.m. peak periods at all study intersections. For the purposes of this scope and budget estimate, it is anticipated that turning movements will be collected at up to 9 intersections around the project study area. Improvement Plans for Area Roadways. Consultant wiII obtain available plans for the improvement Of study area roadways from the City's Engineering Division. Existing Traffic Conditions Existing a.m. and p.m. peak hour traffic conditions and levels of service will be assessed for the intersections identified for examination. Intersection levels of service will be calculated using the appropriate Highway Capacity Manual7th Edition (HCM 7) analysis methodologies using Synchro 12 software. The existing conditions analysis will also include a review of existing bicycle, pedestrian and transit facilities within the study area. Project Trip Characteristics Weekday a.m. and p.m. peak hourtrip generation forthe project will be developed using rates from the Institute of Transportation Engineers (ITE) Trip Generation Manual (11'h Edition), and/or project operational statements and in consultation with City staff. If City staff requires surveys of similar facilities to develop the project trip generation, additional budget will be required to conduct the trip generation surveys. Project trips will be distributed based on regional roadway network, location of residential, commercial, and other land uses in relation of the proposed project, and in consultation with City staff. The project distribution at each study intersection will be applied to the trip generation to obtain the corresponding project trip assignment. Existing with Project Traffic Conditions Effects of the project on traffic will be evaluated by adding the project trip assignment to the existing conditions traffic volumes. The resulting intersection LOS will be calculated using the previously discussed methodologies. The analysis will also include a review of proposed bicycle, pedestrian and transit facilities under all with project conditions. Site Access and On -Site Circulation The TIA will examine the project site access and on -site circulation. Analyses may include intersection sight distance, driveway length addressing queuing Issues, corner clearance, potential right -turn lanes at driveways, adequacy of pedestrian facilities, bicycle accessibility, and accessibility from adjacent transit stops. Safety and Operational Improvements Analysis Intersection LOS without the project will be compared to the intersection LOS with the project for the analysis scenarios to determine potential project operational issues and deficiencies. Determination of the significance of project related operational deficiencies will be made based on City levels of service and threshold of significance criteria. Circulation network 7 Memo\Agreementsllst Amendment Agreement w LSA.bm.06.08.2026.FY2526-184.docx improvements will be identified to offset operational deficiencies identified. Circulation network improvements may include intersection turn lanes, signalization, and segment lane additions. The levels of service with improvements will be calculated and summarized, along with a comparison of the levels of service without improvements. Signal Warrant Analysis (if required) If required, Consultant will examine peak -hour approach volumes for the study intersections to determine whether signalization may be warranted at an unsignalized study intersection per the criteria defined in the California supplement of the Manual on Uniform Traffic Control Devices (CA-M UTCD). Caltrans Safety Analysis (Optional Task) As the project site is located near the Interstate 10 (1-10)/Alabama Street interchange and the I- 10/Tennessee Street Interchange, a Caltrans safety analysis may be required due to project traffic affecting nearby interchanges on I-10. If determined to be required, this analysis will be prepared based on Caltrans Local Development and Intergovernmental Review (LDIGR) Safety Review Practitioners Guidance, dated February 2024. However, the project may not add substantial project trips to either of these Interchanges. In case a Caltrans safety analysis is required to be conducted at these interchanges, the scope of work and budget will need to be adjusted. The cost of this Optional Task is not included in this proposal as the study area is not known at this time. The study area will be finalized during the scoping agreement process, which will identify whether or not a Caltrans safety analysis will be required. Project VMT Analysis Senate Bill 743 (SB 743) required changes be made to CEQA regulations introducing VMT as the new metric for determining project traffic impacts. Consultant will prepare a VMT evaluation for the project based on the City of Redlands CEQA Assessment VMT Analysis Guidelines. As the proposed project consists of an SCE service center, the proposed project may be considered as a community institution, and therefore, can be presumed to have a less than significant impact absent substantial evidence to the contrary as their uses are local serving in nature. Additionally, the proposed project consists of a 50,514 square foot administration building, a 25,596 square foot garage building, and other site improvements. Since the administration building footprint would be less than the maximum allowable 59,100 square foot area for office uses in the project type screening criteria and the garage building and canopies may be excluded as part of office uses, the proposed project may also be presumed to have a less than significant impact on VMT. Therefore, the proposed project is expected to be screened out from a full VMT analysis and no VMT modeling is proposed as part of this scope of work. Draft Traffic Impact Analysis and VMT Memorandum Preparation and Submittal Consultant will prepare a separate draft TIA report and a draft VMT analysis screening 8 I:\cmo\Agreements\1st Amendment Agreement w LSA.bm.06.08.2026.FY2526-184.docx memorandum documenting the CEQA Assessment, LOS analysis methodologies, traffic operational conditions, project operational deficiencies, and improvements (as required). Meetings Consultant Transportation Department staff will attend up to three virtual meetings related to the processing of the proposed project. The cost for meeting attendance has been included in this scope of work. If any in -person meeting attendance is required, the scope can be modified to include meeting attendance on a time and material basis. Output: Consultant will submit an electronic version (PDF) of the draft TIA reportto City staff within 10 weeks of receiving the authorization to proceed. Consultant will submit an electronic version (PDF) of the draft VMT analysis screening memorandum to City staff within 2 weeks of receiving the authorization to proceed. The draft VMT analysis screening memorandum will be prepared concurrently with the draft TIA. Therefore, the overall schedule will be 10 weeks from authorization to proceed. TASK 3.0: INITIAL STUDY (CEQA DOCUMENT) Task 3.1: Screencheck Initial Study Consultant will prepare an Initial Study (IS) forthe project, identifyingthe potential effects the project would have on the environment. As necessary, mitigation will be identified to reduce the impacts of the proposed project to less than significant levels. In addition to the technical studies detailed in Task 2.0, Consultant will incorporate relevant Applicant -supplied material and other project -specific data. Consultant will review the City's General Plan, pertinent environmental data, and other relevant documents to ascertain the existence of and/or extent of potential environmental impacts. Consultant will address the environmental issues presented in Appendix G of the State CEQA Guidelines as they relate to the proposed project, applicable City standards, and/or the standards of State or federal entities. This scope and cost estimate assumes two rounds of review by the City. Consultant anticipates a consolidated and non -contradictory set of comments from each review cycle. As necessary, Consultant will make appropriate revisions to the document to address review comments. Additional rounds of review may be conducted under an augment to this scope and budget. The IS/MND will include all referenced technical studies prepared by Consultant and/or provided by the City (as PDF files). Completion of the IS/MND will be within 3 weeks of receipt/completion of all relevant and required information, including project -specific plans, studies, and related materials. Any delay in the receipt of all or part of these required data may necessitate an extension of the estimated completion date. During each round of review, Consultant will resubmit the IS/MND within five business days of receipt of one set of consolidated, non -contradictory review comments from the City. Biological Resources Biological resources on the site are expected to mainly consist of those species of plants and 9 BcmolAgreementsllst Amendinent Agreement w LSA,bm.06.08.2026.FY2526-I84.docx animals that are tolerant of human disturbance and can survive in the urban environment. Vegetation on site consists of ornamental landscaping and two palm trees along Kansas Street. Due to the lack of vegetation, wildlife use is expected to be limited on the site and in the vicinity and native vegetation is expected to be absent. To establish existing conditions related to biological resources, Consultant will review the California Department of Fish and Wildlife California Natural Diversity Database for lists of special -status species that have occurred or could occur within the vicinity of the project site. Based on the above, potential impacts to biological resources will be identified and mitigation measures recommended, as appropriate. This scope of work assumes that focused natural resources surveys would not be required. Output: Consultant will prepare a Screencheck Initial Study within 3 weeks of receipt of all required information for review by City. This scope and cost estimate assume up to two rounds of review/revision and one electronic copy of the Initial Study for the City during each of the two review cycles. Comments from attorneys or any other person or entity such as a third- party reviewer would be considered an additional round of review and potentially subject to a contract amendment. As necessary, Consultant will make appropriate revisions to the IS to address City comments. Task 3.2: Mitigation Monitoring and Reporting Program In conjunction with the preparation of the draft Initial Study, Consultant will prepare a Mitigation Monitoring and Reporting Program (MMRP) to implement the mitigation measures outlined in the Initial Study for the project. The mitigation measures will be included in a matrix check -off format for ease of tracking their implementation. The MMRP will be attached to the Initial Study that is distributed for public review. Output: One electronic copy of the MMRP to the City during each of the two review cycles. TASK 4.0: MITIGATED NEGATIVE DECLARATION Task 4.1: IS/MND Public Review Materials Once the City has reviewed and approved the Screencheck IS (see Task 3.0), Consultant will prepare all the necessary forms for circulatingthe IS/Mitigated Negative Declaration (IS/MND) to the public and resource agencies. Consultant will use standard forms or those provided by the City, whichever is preferred. Unless requested by the City, the IS/MND will be circulated for the full 30-day public review period, This scope and cost estimate assumes the City will provide a current public agency distribution list, will post the Notice of Intent to Adopt a Mitigated Negative Declaration (NOI) in local newspaper(s), and notice adjacent/nearby property owners (as necessary). Consultant assumes the City will post the NOI with the San Bernardino County Assessor - Recorder -Clerk. Consultant will distribute the NOI to agencies/organizations on the City - provided distribution list via certified mail (return receipt). Consultant will provide the City evidence of all mailings and posting related to the distribution of the IS/MND. 10 Lkmo\Ad eementsllst Amendment Ageementw LSA.bm.06.08.2026.FY2526-184.docx To minimize print and distribution costs, any copy of the IS/MND distributed to the City's mailing list will consist of flash drives, which include the IS/MND and appendices as Adobe Acrobat PDF files. An alternative to distribution of flash drives is provision of a Web link on the NOI, which will direct reviewing parties tothe IS/MND and all supporting technical studies on the City's website. The City will either post the IS/MND to the State Clearinghouse or provide Consultant staff upload authorization to the Office of Planning and Research Document Database. Output: Consultant will provide the City with up to five hard copies of the IS/MND and MMRP with the technical appendices to be included only as PDF files on attached flash drives for City records. As required, up to 25 hard copies of the NOI and up to 25 electronic copies of the IS/MND, supporting appendices, and MMRP will be provided as Adobe Acrobat PDF files on flash drives. Task 4.2: Response to Public Comments Upon close of the public review period on the IS/MND, Consultant will prepare responses to public and agency comments received on the IS/MND. Consultant will respond to comments on the IS/MND within 1 week of receipt of a complete set of comments from the public review period. This scope and cost estimate assumes up to 20 hours of staff time for this task. Time required in excess of this assumption will be incurred upon authorization by the City and billed on a time -and -materials basis. As required, the IS/MND will be revised to incorporate relevant comments/data received during the public review period. Revisions to the IS/MND will be presented in an errata to facilitate subsequent review by the City, Output: All comments received on the IS/MND during the public review period, as well as the responses to comments, will be presented in an errata and included as an appendix to the Final IS/MND. If the City so chooses, Consultant will distribute the responses to comments directly to each commenting agency 10 days prior to the public hearing decision on the project. Task 4.3: Final IS/MND and Notice of Determination Consultant will prepare upto 12 hard copies of the Final IS/MND, including the NOI, responses to comments (if any), and MMRP priorto each public hearing. All appendices will be provided as electronic PDF files on flash drives. Subsequent to adoption of the IS/MND, Consultant will provide the City with the Notice of Determination (NOD) for submission to the San Bernardino County Assessor -Recorder -Clerk and upload to the Office of Planning and Research CEQAnet database. Although Consultant will prepare the NOD, it is the responsibility of the City to file the NOD and of the Applicant to pay the required filing fees. It should be noted that failure to file the NOD within five business days of project approval will substantially increase the period during which the project approval may be legally challenged. Output: Up to 12 hard copies of the Final IS/MND with appendices included electronically on flash drives will be provided to the City prior to each public hearing. Consultant's commitment to meeting scheduling needs and project demands extends to doing whatever it takes to complete the job within established time frames. • Ensure quality of work products and cost estimates, and timely delivery at lowest cost. Output: Review project status with the City at agreed -upon intervals to ensure implementation of the scope of work and harmonious functioning of all team members, as well as to identify any potential conflicts due to possible changes in scope. Task 5.2: Meetings In addition to the project kickoff meeting, Consultant anticipates up to three coordination meetings with City staff may be needed during preparation of IS. Consultant anticipates that these meetings (as required) will take place via teleconference. Consultant will attend up to two public hearings/meetings of the City to consider approval of the IS/MND and action on the project. If requested, Consultant will make presentations explaining the IS/MND's content, findings, and determinations, and will respond to relevant comments raised during the public hearing. Output: Participation in up to three teleconference meetings with City staff and up to two public hearings/meetings to consider approval of the IS/MND and action on the project.
