This first amendment ("First Amendment") to the agreement for design and printing
services ("Agreement"), dated August 19, 2025, by and between the City of Redlands, a municipal
corporation and a general law city ("City"), and Redlands Visitor Center, a California nonprofit
public benefit corporation ("Consultant"), is made and entered into this 416 of August, 2026.
RECITALS
WHEREAS, the Parties entered into a Professional Services Agreement ("Agreement") on
August 19, 2025, for the provision of design and printing services; and
WHEREAS, the Parties wish to enter into a First Amendment to the Agreement ("First
Amendment" for the purpose of making amendments to the Agreement; and
WHEREAS, it is the desire of the Parties to amend their existing Agreement, specifically
to amend the Exhibit "A," titled "Scope of Services" and Exhibit "B," titled Project Budget, amend
the term of the agreement, and further amend the total compensation for Services.
NOW, THEREFORE, for good and valuable consideration in the receipt of which is hereby
acknowledged City and Consultant agree as follows:
AGREEMENT
Section 1. Article 4 of the Agreement, entitled "Performance of Services," is hereby
amended to read as follows:
"4.2 The term of this Agreement shall be for a term not to exceed one (1) year from the
Effective Date of the Agreement and terminating on August 19, 2026."
Section 2. Article 5 of the Agreement, entitled "Payments to Consultant," is hereby
amended to read as follows:
"5.1 Compensation: Total compensation for Consultant's performance of the Services shall
not exceed the amount of twenty-five thousand dollars ($25,000.00). City shall pay Consultant on
a time and materials basis up to the not to exceed the amount in accordance with Exhibit `B," titled
("Project Budget"), which is attached hereto and incorporated herein by reference."
Section 3. Exhibit "A" of the Agreement, titled "Scope of Services" is hereby replaced
in its entirety with amended Exhibit "A," which is included hereto as Attachment 1 and
incorporated herein by this reference.
Section 4. Exhibit `B" of the Agreement, titled "Project Budget" is hereby replaced in
its entirety with amended Exhibit "B," which is included hereto as Attachment 2 and incorporated
herein by this reference.

Section 5. All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect.
IN WITNESS WHEREOF, the parties have executed this First Amendment, as of the first
date set forth above.

EXHIBIT "A"
SCOPE OF SERVICES
Consultant shall perform the following Scope of Services:
1. The City and Chamber are closed on weekends, making the Redlands Visitor Center the sole
source for visitor information. The Center's SMS store traffic system tracks visitor counts, noting
41,002 visitors in 2024. Weekends account for the majority of the traffic, with Sunday being the
highest day for information requests and use of the family room. Quarterly reports will be
provided to the City on the number of materials distributed.
2. The Redlands Visitor Center will design digital and printed resources for visitors, businesses and
perspective residents.
3. The Residential Relocation Information Packet will include a Visitor/ Relocation Welcome
Letter, up to 4 sheets of Resident Directory information, an envelope and annual maintenance
to update the information.
4. Create a digital eBook for prospective new residents and visitors to include 24 pages of content
to Include helpful information and articles; highlighting city events; local travel guide and
shopping tips; things to do such as location of local parks, hiking trails and activities; how to get
to Redlands and where to park; and annual maintenance for one year to update and host the
digital eBook.
