FIRST AMENDMENT TO THE AGREEMENT TO PERFORM NON-PROFESSIONAL
SERVICES
This first amendment("First Amendment") to the agreement to provide service and repairs dated
June 2, 2015 (the"Agreement"), by and between the City of Redlands, a municipal corporation
("City") and Southern California Fleet Services ("Contractor") is made and entered into this 5t`
day of April 2016.
RECITALS
WHEREAS, it is the desire of City and Contractor to amend their existing Agreement,
specifically Section 5.1 to amend the payment term of the agreement.
NOW, THEREFORE, City and Contractor agree as follows:
AGREEMENT
Section 5.1 Section 5.1 of the Agreement is hereby amended to identify the
Contractor's compensation and shall read as follows:
"5.1 The total compensation for Contractor's performance of the Services shall not exceed a total
amount of Two Million Four Hundred Thousand Dollars ($2,400,000) or Eight Hundred
Thousand Dollars ($800,000) annually for the term of the agreement. City shall pay Contractor
on a time and materials basis up to the not to exceed amount, in accordance with Exhibit "C"
entitled"Rate Sheet."Exhibit"C" is attached hereto and incorporated herein by this reference."
IN WITNESS WHEREOF,the parties have executed this First Amendment,to be
effective as of April 5, 2016.
